Job Purpose: Responsible to strategically guide the mining divisions, offering counsel on ongoing projects and new ventures, encompassing RPF evaluations, commercial bids, and associated matters. They steer high-stakes dispute resolutions and oversee legal proceedings through court cases to arbitration, ensuring effective outcomes. Furthermore, provides vital transactional support, oversee the drafting and negotiation of key contracts, JV agreements, and financing documents, while conducting meticulous due diligence. Also, responsible to manage complex risk factors inherent in mining and trading operations, devising robust mitigation strategies and implementing governance frameworks to foster stakeholder value creation.
BU Legal Lead - NR
Litigation Dispute Management:
Devise strategies for high-stake arbitration and litigation cases on a PAN India basis.
Prepare pleadings such as claims, counterclaims, petitions, applications, written statements/replies, and notes of arguments.
Conduct legal research and analyze precedents to leverage past legal rulings to inform current strategies.
Perform pre-litigation due diligence to ascertain exposures on financial, reputational, personal liability, and business continuity.
Understand and manage court proceedings, including environmental laws, labor laws, contracts, and arbitration.
Coordinate with advocates for effective legal representation, leading to optimal resolutions.
Transaction and Contract Management:
Possess an in-depth understanding of commercial contracts to mitigate commercial risks.
Structure deals, joint ventures, and consortium agreements with business partners to create legally sound and strategically beneficial partnerships that align with the company’s goals.
Conduct due diligence on bid documents and RFPs to identify risk exposures and advise on deviation and/or exposure mitigation strategies.
Possess knowledge of financial and tax laws related to transactions to support financial documentation.
Coordinate with law firms and provide advice on drafting legal documents to ensure that all legal documents are precise and comprehensive.
Meet and interact with businesses to understand issues and provide relevant legal advice.
Develop strategies internally with the Legal HOD and business teams to align legal strategies with business objectives.
Governance & Compliance:
Understand mining laws and other applicable laws such as employment, environmental, and tax laws to ensure full legal compliance and mitigate risks effectively.
Advise on legal compliances in operations to maintain adherence to regulatory requirements and minimize legal liabilities.
Build in-house capability through interactive sessions among business teams to enhance legal awareness.
Assist the team in preparing MIS, litigation updates, and budget management to facilitate informed decision-making and resource allocation.
Resource Management and Team Development:
Assess resource gaps to support ongoing and future business needs, ensuring adequate staffing levels and skill sets.
Manage and develop teams and talents to ensure they are future-fit, fostering a culture of learning and growth.
Provide training and development in specific areas of law to enhance expertise and promote continuous improvement.
Promote knowledge sharing among team members to leverage collective insights and capabilities, driving performance excellence and innovation.
Digital Proficiency and Optimization:
Guide the HOD in devising the IT enablement strategy for the legal function to ensure it is future-fit, enabling streamlined processes and enhanced efficiency.
Work closely with the Digital Team to standardize ways of working for speed and simplicity, leveraging technology for improved legal operations.
