What would you do? The AVP of Corporate Actions / Income will oversee the accurate and timely processing of corporate action events (e.g., dividends, mergers, spin-offs, tender offers, and proxy voting) for institutional clients. This role requires strong leadership, risk management, and operational expertise to ensure compliance with industry regulations and internal policies. The AVP will manage a team, drive process improvements, and collaborate with internal and external stakeholders to mitigate risks and enhance efficiency. Event Announcement & Market Monitoring Monitor market sources (custodians, exchanges, SWIFT messages) for upcoming voluntary corporate actions. Validate event details such as terms, deadlines, eligibility, and tax implications. Ensure accurate event setup in corporate actions systems. 2. Client Notification & Response Management Notify clients of voluntary corporate actions via official communication channels. Provide clients with event details, decision deadlines, and options (e.g., cash vs. stock election). Track client responses and ensure timely submission to custodians and agents. 3. Election Processing & Instructions Management Capture and validate client instructions for corporate actions. Ensure accurate processing of elections and submit them before market deadlines. Coordinate with custodians, depositaries, and counterparties for confirmation. 4. Entitlement Calculation & Allocation Calculate entitlements based on event terms and client positions. Reconcile entitlements against custodian records to ensure accuracy. Allocate proceeds (cash or securities) to client accounts post-event. 5. Risk & Exception Management Identify and escalate discrepancies in event terms or entitlements. Investigate and resolve breaks related to missing instructions, incorrect elections, or unprocessed entitlements. Work closely with risk and compliance teams to mitigate operational risks. 6. Regulatory Compliance & Tax Processing Ensure adherence to regulatory frameworks (SEC, FCA, MiFID II, CSDR). Apply correct tax treatment based on client eligibility and jurisdiction. Process withholding tax reclaims where applicable. 7. Reconciliation & Break Resolution Perform daily reconciliations of corporate action positions and entitlements. Investigate and resolve mismatches with custodians and internal books. Work with finance and settlement teams to ensure correct postings. Voluntary corporate actions(Rights issue, Tender offer, DRIP, IPO, Bids..) Notify internal & external parties of all incoming corporate events. Ensure proper stock reconciliation on Ex date and Record date.
What are we looking for? •Risk Management •People Management •Business Analytics Qualifications & Skills: - Education: Bachelor’s degree in Finance, Business, or related field. - Experience: 9+ years in corporate actions, securities operations, or asset servicing. - Technical Skills: Proficiency in corporate actions processing platforms e.g., Bloomberg, Euroclear, Clearstream, DTCC CA Web, SWIFT messaging, and MS Excel. - Soft Skills: Strong analytical, problem-solving, and decision-making abilities; excellent communication and stakeholder management. - Industry Knowledge: Deep understanding of global securities markets, custody operations, and regulatory frameworks (SEC, FCA, etc.). Risk & Control Management: - Identify and mitigate operational risks related to corporate actions processing. - Implement robust controls to reduce errors, financial losses, and reputational risks. - Resolve complex corporate actions issues and discrepancies in a timely manner Client & Stakeholder Engagement: - Act as a key point of contact for internal teams (Trading, Custody, Fund Accounting) and external clients. - Address client inquiries and ensure seamless communication on corporate actions events. - Partner with Technology teams to enhance automation and straight-through processing (STP). Process Improvement & Projects: - Drive process optimization initiatives to improve efficiency and scalability. - Participate in system upgrades, testing, and implementation of new corporate actions platforms. - Support audit requests and ensure compliance with internal policies and external regulations Preferred Qualifications: - Experience in asset management, investment banking, or global custodial services. - Knowledge of ISO 15022/20022 messaging standards. - Project management experience (Agile, Lean Six Sigma).
