About the Role

The Company Secretary Trainee will support the Secretarial team in ensuring compliance with the Companies Act, 2013, SEBI Regulations and stock exchange requirements, while gaining hands-on exposure to board processes, shareholder matters and capital markets compliances in a listed-company environment.

Roles and Responsibilities

Corporate & Regulatory Compliance

  • Assist in compliances under the Companies Act, 2013 and SEBI Regulations (LODR, PIT, SBEBSE, ICDR, etc.).

  • Support preparation and filing of statutory forms with MCA, NSE, BSE and other regulators.

  • Track periodic compliance requirements and maintain statutory registers and records.

  • Assist in monitoring and preparing disclosures under Regulation 30 and other listing obligations.

Board & Committee Support

  • Support preparation of Board and Committee agendas, notes and presentations.

  • Assist in drafting minutes of meetings of the Board, Audit Committee, NRC, RMC and other committees.

  • Coordinate logistics for meetings and circulation of papers.

Shareholder & Investor Matters

  • Assist in AGMs/EGMs, postal ballots and shareholder communications.

  • Coordinate with the Registrar & Transfer Agent (RTA) for BENPOS and corporate actions.

  • Support ESOP-related compliances and disclosures.

  • Track shareholding patterns and investor-related filings.

Policies & Governance Framework

  • Assist in updating governance policies, codes and charters.

  • Support implementation of regulatory circulars and amendments.

  • Conduct research on regulatory developments and peer practices.

General Secretarial Support

  • Maintain statutory records and compliance trackers.

  • Support statutory, secretarial and internal audits.

  • Liaise with consultants, auditors and external advisors.

  • Provide documentation and data support for regulatory filings.

Education and Desired Qualifications

  • Student registered with ICSI and eligible to undergo training as per ICSI regulations.
  • Working knowledge of Companies Act, 2013.
  • Basic understanding of SEBI Regulations applicable to listed entities.
  • Good drafting and documentation skills.
  • Strong attention to detail and compliance orientation.
  • Proficiency in MS Office.
  • Good communication skills.
  • Ability to work in a dynamic, fast-paced environment.
