Roles & responsibilities
•Take on the Company Secretarial responsibilities of KPMG Global Services platform entities, to ensure corporate governance and compliance with the organization. •The incumbent will be responsible for ensuring compliance with legal and statutory requirements, external regulations and laws, and managing all requirements with regards to corporate governance, corporate filing, maintenance of corporate records and corporate administration, liaise with regulatory authorities, prepare and maintain legal documents. •Serving as the primary point of contact for the board of directors, shareholders and regulatory authorities on corporate governance matters. •Coordinating and facilitating board meetings, including preparing agendas, board packs and minutes including all relevant compliance and filings with regards Companies Act and any other relevant legislations. •Ensuring compliance with statutory and regulatory requirements for the platform entities with regards applicable Laws / regulations and relevant KPMG International and MF requirements, including filing annual returns, disclosures and resolutions. •Drafting and filing statutory documents, such as annual returns, board resolutions and meeting minutes. •Maintaining corporate records, registers and statutory books as per the applicable laws and regulations. •Advising management and board members on corporate governance best practices, legal requirements and compliance issues. •Managing shareholder communications, and handling shareholder inquiries. •Guiding corporate governance best practices and implementing governance frameworks. •Liaising with regulatory authorities, such as the Registrar of Companies (ROC)Roles & responsibilities
•Lead and monitor firm’s compliance with various internal and KPMG Global Risk Management policies as applicable to the firm. •Pro-actively and independently engage in strategy discussions with leadership and external counsels on legal matters affecting the Firm; •Responsible for collaboratively working with internal business unit heads, COOs and senior leaders and onshore stakeholders to identify compliance, statutory, regulatory and legal risks and proactively working with stakeholders to help mitigate the risks. •Be able to weigh risks against operational needs to develop reasoned recommendations, including risk mitigation strategies, and provide sound legal advice. •To keep abreast of the latest changes in laws / regulations in India and apprise the relevant stakeholders on a timely basis. Develop appropriate mechanisms and strategies to comply with the same with minimal disruptions. •Maintain and enhance knowledge by attending educational workshops, conferences, seminars, reviewing publications etc. •Support enquiry of colleague matters reported via channels like Whistle Blower Hotline, Platform Leadership, etc. •Review and negotiate vendor contracts #LI-DB3#LI-KGS
