We are seeking a motivated and detail-oriented Paralegal to join our Global Governance Legal team based in Gurgaon, India. This role will support corporate secretarial, governance, and compliance matters for Indian and international subsidiaries.
Responsibilities:
Support the Global Governance team and our India Senior Corporate Counsel on corporate secretarial, governance, and compliance matters for Indian and international group entities.
Manage and maintain statutory records, registers, and corporate databases for subsidiaries including:
Registers under the Companies Act, 2013
Board and shareholder records
Director and officer information Preparation and circulation of notices, agendas, board packs, and resolutions
Drafting minutes and maintaining minute books
Liaise with external counsel and service providers in India and other jurisdi tions to ensure timely compliance with local corporate governance requirements. Partner with internal stakeholders (finance, tax, treasury, payroll, employment and business teams) to support governance, audit, and compliance needs.
Assist with subsidiary acquisitions and integrations, including post-closing governance and compliance activities.
Support periodic audits, compliance reviews, and governance reporting.
Required Experience:
Membership of The Institute of Company Secretaries of India and excellent academic credentials
5 or more years’ experience as a corporate paralegal or similar role, ideally with experience at a major law firm and/or in-house at a public company
Experience in subsidiary corporate governance matters including regulatory compliance andMCA filings.
Keen attention to detail and a very high standard for accuracy
A sound work ethic, efficient working style, and high level of organization. Must be able to manage multiple projects simultaneously under deadline pressure
Flexibility and intellectual curiosity; strong desire to learn and grow in a fast-paced environment
Superior judgment, discretion, and ability to properly handle confidential and sensitive information
Excellent interpersonal skills, team orientation; ability to work cross-functionally at all levels of the organization
