Purpose: Provide comprehensive legal support and guidance to ensure organizational compliance with laws and regulations, mitigate legal risks, and safeguard company interests.

Responsibilities:

Legal Advisory:Offer legal advice to the organization, sister concerns, and family on various legal matters including contracts, regulatory compliance, intellectual property, and corporate governance.Review, draft, and negotiate contracts, agreements, and legal documents to ensure they align with the organization's objectives and comply with applicable laws and regulations.Conduct legal research and analysis on relevant legal issues and developments affecting the organization's operations.

Weekend Lawyer Meetings (if any):Attend weekend lawyer meetings when necessary, discussing legal matters and strategies with external counsel or legal advisors.

Drafting Works:Draft legal documents, contracts, agreements, and other legal instruments as necessary, ensuring clarity, accuracy, and compliance with legal requirements.

Proof reading Documents:Review and proofread legal documents, correspondence, and other materials to ensure accuracy, clarity, and consistency.

Legal Advice and Guidance:Provide comprehensive legal advice on contracts, regulations, compliance, and risk management.Finding right lawyers for specific issuesFee negotiation with lawyers.

Analysis and Interpretation:Conduct legal research and analysis to support business decision-making.Analyze and interpret laws, regulations, and legal documents relevant to theorganization's operations, providing insights and recommendations as needed.

Accuracy and Legality of Documents:Ensure that all legal documents are accurate, well-drafted, and legally sound, minimizing the risk of legal disputes or challenges.

Risk Management:Identify legal risks and develop strategies to mitigate them and address them effectively.Collaborate with other departments to implement risk management strategies and ensure compliance with legal requirements.

Compliance and Regulatory Affairs:Monitor changes in laws, regulations, and industry standards that may impact the organization and advise management on compliance requirements.Ensure compliance with local, state, and federal laws and regulations.Develop and implement compliance programs and policies to ensure adherence to legal and regulatory requirements.Provide training to employees on legal matters and compliance requirements.Advise on intellectual property matters, including trademarks, patents, and copyrights.Stay updated on changes in laws and regulations relevant to the company's operations.Assist in corporate governance matters, including board meetings and shareholder relations.

Dispute Resolution and Litigation Management:Manage and oversee legal disputes, litigation, and alternative dispute resolution processes involving the organization.Work closely with external counsel to develop and execute litigation strategies and represent the organization's interests in legal proceedings.

Legal Action and Dispute Resolution:Provide guidance on potential legal actions and strategies for dispute resolution, including negotiation, mediation, arbitration, and litigation.

Corporate Governance:Ensure compliance with corporate governance principles and practices, including board meetings, record-keeping, and regulatory filings.Advise management and the board of directors on corporate governance matters and best practices.

Contract Management:Establish and maintain a system for the organization's contract management, including tracking and monitoring contractual obligations and deadlines.

Contract Review and Negotiation:Review, draft, and negotiate contracts to ensure compliance with applicable laws and protect the organization's interests.

Contractual Terms and Risks:Advise on contractual terms, risks, and legal implications, ensuring that contractual agreements are fair, balanced, and in the organization's best interests.

Legal Documentation and Record-Keeping:Maintain accurate and up-to-date legal documentation, records, and files in accordance with legal requirements and internal policies.

Provide Necessary Documents to Lawyers:Collaborate with external lawyers and legal representatives, providing them with necessary documents, information, and support for legal proceedings or consultations.

Legal Representation:Represent the organization in legal proceedings, negotiations, and other legal matters as required.Visit police stations and other government offices when necessary to handle legal matters, file reports.Handle legal matters and obtain permits or clearances when necessary.

Weekday Court Proceedings/Arbitrations:Attend court proceedings and arbitrations on weekdays as required, representing the organization's interests and providing legal support.

Collaboration and Communication:Collaborate with internal stakeholders, including management, departments, and external parties such as clients, vendors, and regulatory authorities. to address legal issues and mitigate risks.Communicate effectively with internal and external parties, providing timely and clear legal advice and guidance.Coordinate payments to lawyers and external legal service providers.

Ethical Considerations:Provide advice on ethical considerations and ensure that the organization operates within legal and ethical boundaries in all its activities and transactions.These outline the role of the In-House Legal Representative, encompassing a wide range of legal tasks and activities to support the organization effectively.

Qualifications:

Bachelor's degree in Law (LLB)Admission to the bar in the relevant jurisdiction.

2-3 years of experience practicing law, preferably with experience.

Strong knowledge of [specific laws and regulations relevant to the organization, e.g., employment law, data privacy regulations, etc.].
