Role OverviewThe Corporate & Commercial Lawyer will be responsible for managing all legal, contractual, and compliance matters of the company. The role focuses on drafting, reviewing, and negotiating commercial agreements, ensuring regulatory compliance, minimizing legal risk, and supporting business growth in agro-based sourcing, food, logistics, and quick commerce operations.

• Key ResponsibilitiesCorporate & Commercial ContractsDraft, review, and negotiate:

• Vendor & supplier agreements
• Farmer / aggregator outsourcing contracts
• Purchase, supply & distribution agreements
• MoUs, NDAs, SLAs & confidentiality agreements
• Warehousing, logistics & cold storage contracts
• Ensure contracts align with business objectives and legal standards
• Regulatory & ComplianceEnsure compliance with:
• 
  
• Companies Act, 2013
• FSSAI & food safety laws
• APMC Act & agri-marketing regulations
• GST & indirect tax laws (coordination with consultants)
• Monitor changes in laws impacting agro, food, and supply chain businesses
• Risk Management & AdvisoryIdentify legal risks in business transactions and propose mitigation strategies
• Provide legal advice to management on operational and strategic decisions
• Support due diligence for partnerships, investments, and expansions
• Dispute ManagementHandle pre-litigation notices, replies, and settlements
• Coordinate with external counsels for litigation and arbitration
• Manage consumer complaints and commercial disputes
• Corporate GovernanceAssist with board resolutions, shareholder agreements, and statutory filings
• Support secretarial and compliance matters with CS/CA teams
• Technology & IP (if applicable)Draft and review website/app:

• Manage trademark filings and brand protection
• Handle IP enforcement and infringement matters
• Required Skills & CompetenciesStrong contract drafting and negotiation skills
• Practical understanding of commercial laws
• Excellent analytical and risk-assessment abilities
• Clear communication with business and operations teams
• Ability to work independently and handle multiple matters
• QualificationsLLB / LLM from a recognized university
• Enrollment with State Bar Council of India
• 4–10 years of experience in corporate/commercial law
• Experience in agro, FMCG, food, logistics, or retail preferred
• KPIs (Key Performance Indicators)Contract turnaround time
