Job Description for Associate Vice President/ Deputy Vice President (Non Litigation)

Location – Mumbai

Job Role:

1. Drafting, negotiating, and finalizing borrowing / fund raising structures and documentation including loan, NCDs, sub-debt, masala bonds, external commercial borrowings, direct assignments, securitization (standard assets and non-performing assets) etc.
2. Provide expert strategic legal advice on various aspects to Management. Ability to respond immediately with solution to a situation which is not ideal. 
3. Coordinating with external lawyers for their appointments and managing cost.
4. Reviewing and vetting of all kind of agreements and documents. 
5. Conduct research on specific matters.
6. Managing Policies and Process.
7. Excellent network of solicitors across India.
8. Understanding of process and regulations governing NBFC.
9. Core strength to guide company on local laws, developments, judiciary precedence, stamp duty implications, market practices.
10. excellent understanding of debt fund raising.
11. understanding of RBI and SEBI regulations.

Type of documents and structures 

Drafting and vetting of facility and security documentation, and other contracts like Lease Deed, Service Provider Agreement, Share Purchase Agreement, Non – Disclosure Agreement, Option Agreement, Debenture Trustee Deed, Share Pledge Agreement, Escrow & TRA Agreement, Security Agreements, Facility Documents, Memorandum of shareholders, Joint venture Agreement, Consortium Documents, Sale and lease back, Sale and assignment of receivables, Novation Deeds, business correspondent agreement,  assignment, trade finance, securitisation, channel finance, invoice discounting, equipment finance, review of  BG's, LC's.

Knowledge required 

RBI, SEBI, Co- lending, digital banking, contract act, arbitration/ dispute mechanism, Companies act, Partnership act, Contract  etc. 

Job Requirements:

• Education: LLB or LLM from a renowned institution/Law School
• Minimum 15 years experience in Financial industry/Capital Market/Bank/NBFC etc
• Experience in handling legal matters and Sound in-depth Knowledge of Laws of the Country.
• Good communication skills – Verbal / Written
