Job Title - Contract Remediation Specialist (CRI- PET), AVP

Location - Pune, India

Role Description

  • As a member of the Contract Remediation team, the Contract Remediation Specialist is responsible for contract negotiation and remediation activities in support of regulatory expectations for the various remediation programs (ie PRA, EBA, Resolution Provisions (RP) or DORA). This position requires strong Contracts and Legal background, proven understanding of commercial contract clauses, negotiation skills and a collaborative mindset.
  • This includes negotiation with suppliers of non-commercial terms and conditions, drafting or revising the contract, meeting the regulatory or DB policy requirements and ensuring the formal stakeholders’ approval for the execution draft.
  • The Contracts Remediation Specialist represents DB towards the vendor and works effectively with internal stakeholders to secure a finally agreed contract. Candidate/ Applicants will be part of a cross-divisional bank-wide team, expected to work globally and ensure effective communication and engagement with stakeholders at all levels to support the overall business strategy.

Your key responsibilities

We are looking for motivated candidates to:

  • Draft and negotiate with external vendors non-commercial (legal) contractual clauses and related changes, regarding various procurement contracts
  • Review from legal standpoint the vendors’ contracts, assess the legal risks and mitigate them by proposing alternative clauses
  • Prepare the execution copy of the contract
  • Manage the contractual stages, acting as a central interface between DB service owner, contract manager, local legal departments and vendor, regarding the contract’s negotiation and alignment
  • Coordinate negotiation of contractual terms and conditions, inclusion of bank’s policies and procedures, identification and management of contractual risks, securing all appropriate interfaces (e.g. supplier, control functions, stakeholder, other procurement departments etc.)
  • Adhere to and follow the contracts’ management process and templates
  • May contribute to template development and playbooks drafting
  • Ensure DB stakeholders management, i.e. manage relationship with service owners and control functions such as Audit, Compliance and Legal
  • Establish and maintain good relationships with stakeholders inside and outside DB
  • Ensure and track contract compliance with DB Policies and regulatory requirement
  • Prepare various reports regarding the contracts, upon request
  • Ensure execution of activities is performed within the various Programs agreed timelines and following DB processes and systems, including appropriate reporting

Your skills and experience

  • Mandatory - fluent in English (written and verbal)
  • +5 years’ experience in drafting commercial and non-commercial contracts clauses and participation in negotiations, out of which:
    • ideally +3 years’ experience in vendors and contracts’ management
    • ideally +2 years’ experience in the Financial Services or IT industry
  • Legal background is preferred
  • Hands-on experience with contract remediation (ie DORA, EBA and other regulatory requirements)
  • Critical thinking and solid analytical skills
  • Strong attention to detail and accuracy in documentation and reporting
  • Excellent communication and negotiation skills
  • Team player with strong interpersonal skills
  • High energy, with the ability to work in a fast-paced business environment


Education/Certification:
Law or Bachelor’s degree from an accredited college or university
