TERMS AND CONDITIONS FOR INTERVIEW PREP PLANS

1. Introduction
- 1.1 These terms and conditions (“Terms”) govern the access or use of the digital product called “AI Job Prep” for online job interview preparation using an AI-powered interview coach (“Product”) which is made available on our digital platform www.apna.co (“Platform”), except where we expressly state that separate terms apply.
- 1.2 These Terms shall constitute a binding contract between Apnatime Tech Private Limited (“Apna”, “we”, “us”, or “our”), incorporated in India under the provisions of the Companies Act, 2013, bearing company identification number: U74999MH2019PTC325170 and having its corporate office at 1st Floor, Tower A, 150, Bizzhub Esquire, Old Airport Road, Diamond District, Kodihalli, Bengaluru, Bengaluru Urban, Karnataka, 560008 and you, an end user of the Product (“User”, “you”, or “your”). Accessing or using the Product shall be deemed to constitute sufficient proof that you have read, understood and accepted these Terms. These Terms are to be read in conjunction with the terms and conditions applicable to the Platform available at https://apna.co/terms-conditions-monetisation and the Privacy Policy available at https://apna.co/privacy (“Privacy Policy”).
2. USER ACKNOWLEDGEMENT
- You acknowledge that by accessing and/or using the Product, you expressly consent and confirm to be bound by these Terms.
3. Eligibility
- 3.1 By accepting these Terms, you represent and warrant that (a) you have full legal capacity, right and authority to agree to and be bound by these Terms, (b) you are at least 18 (eighteen) years of age or older, (c) you have not been previously suspended or removed by Apna or any of its affiliates from accessing the Product or the Platform, (d) you are not barred or otherwise legally prohibited from accessing the Product or our Platform, and (e) you are not and will not impersonate any person, entity or falsely state or otherwise misrepresent such person’s or entity’s identity
- 3.2 If at any time, Apna is of the opinion that you do not satisfy the eligibility criteria, Apna retains all rights to disable your access to the Product and/or the Platform with immediate effect.
- 3.3 If you represent an entity, organisation, or any other legal person, not being a natural person, you confirm and represent that you are duly authorized by the organisation, the entity, the legal person, or management of such organisation, entity, or a legal person to accept these Terms, and have the necessary power and authority to bind such entity, organisation, or legal person to these Terms.
4. ACCOUNT CREATION
- 4.1 To avail the full features of the Product or to access Apna’s offering or services related to the Product, you may are be required to create an account on the Platform. To create an account, and to use the Product, you may be required to furnish certain details, including but not limited to your name, phone number, date of birth, and email address. If you represent an organisation, we may seek additional information regarding the organisation’s business and business contact information.
- 4.2 Users may also create such accounts through the ‘single sign-on’ feature through Third Party Services. Please see Clause 8 of these Terms for more details on Third Party Services
- 4.3 You are solely responsible for maintaining the security and confidentiality of your username and password and agree to immediately notify Apna of any disclosure or unauthorised use of your account or any other breach of security with respect to your account.
- 4.4 You expressly agree to be liable and accountable for all activities that take place through your account. Apna shall in no manner be held liable for any unauthorised access to or use of such accounts.
- 4.5 You agree to receive communications from Apna regarding: (i) the Product, the Platform and any services availed by you; (ii) promotional offers and services from Apna and its third-party partners; and (iii) any other matter in relation to the Product and/or the Platform.
5. SCOPE OF SERVICES
- The Platform enables you to practice interviewsing for various roles listed on the Product by engaging with artificial intelligence (AI) agents deployed for automating the mock interview process.
- Subject to these Terms, Apna grants to User a limited, revocable, non-exclusive, non- transferable, non-sublicensable, non-assignable licence to use the Product for the purpose set out in Clause 5.1 above.
- User shall use the Product strictly in accordance with the operating instructions, guides, and user manuals, in written or electronic form, made available to User (“Documentation”).
Subscription and Payment Model:
- (a) You will be allowed to use the Product in accordance with the terms and conditions of the specific subscription plan you opt for. Apna may, at its sole discretion, allow users to use the Product on a “trial” basis at no cost;
- (b) Apna may prompt the User to set up an “autopay” mandate for renewal of the subscription plan you have opted for. You will be required to disable the “autopay” mandate with your banking services provider to disable the automatic deduction of the fee for your subscription plan.
- (c) Apna will, at its sole discretion and as per its internal policies, handle your “upgrade” and “downgrade” requests in relation to your current subscription plan
- (d) Apna is not liable to refund any amounts paid by you for availing subscription plans
- (e) Apna is not liable to offer any discounts or credits in relation to its subscription plans. These shall be subject to Apna’s sole discretion and internal policies
- (f) Apna is not liable to provide any cancellation of subscription plans. Users may cancel their subscription plan at any time, retaining access for the remainder of the period as applicable to the cancelled subscription plan.
- (g) Upon making payment for any of the subscription plans, the User shall be entitled to receive an invoice for the transaction. The invoice will be made available via the User’s registered account or through electronic communication, as determined by Apna. All amounts stated under the respective subscription plans are inclusive of applicable GST andor invoiced are subject to deduction of any applicable taxes, including but not limited to Goods and Services Tax (GST), as required under the laws of India. Users are responsible for ensuring compliance with all tax regulations applicable to their payments and subscriptions
Fair Usage Policy:
- If you opt to subscribe to an “unlimited” monthly, quarterly, or yearly subscription plan, you may use the services, subject to the relevant and applicable capping and restrictions. For weekly subscription plans, your usage is limited to a set number of minutes. Once your minutes are used up, you must wait for renewal or upgrade your subscription plan to continue using the services. Misuse of services, such as creating multiple accounts or using automated methods to bypass limits and restrictions is prohibited and may result in the suspension or termination of your account. Apna reserves the right to adjust the fair usage limits and take remedial actions to ensure service quality and equitable access for all its users. Free trial and free-tier plans have their own usage limits, which you must follow
6. USER'S REPRESENTATIONS AND WARRANTIES
- (a) comply with applicable laws with respect to the use of the Product;
- (b) promptly notify Apna of any complaint or claim about any unauthorised or illegal use of the Product which the User becomes aware of, and agrees to fully cooperate with Apna to help regain possession thereof and to prevent its further unauthorised use;
- (c) obtain and maintain any equipment and ancillary services needed to connect to, access or otherwise use the Product, including, without limitation, modems, hardware, servers, software, operating systems, networking, web servers; and,
- (d) provide all the required information and assistance as specifically sought by Apna to enable Apna to deliver the Product or ensure its functionality. The Client acknowledges that Apna's ability to deliver the Product in the manner provided in this Agreement may depend upon the accuracy and timeliness of such information and assistance. Apna shall not be liable for any delay in the provision of the Product, provided that such delay is a consequence of an act or omission of the User.
The User represents and warrants that the User shall:
7. RESTRICTIONS
- (a) infringe, violate, or misappropriate any proprietary rights, including but not limited to copyrights, patents, trademarks, or trade secrets, of any party;
- (b) except as may be provided hereunder, sell, copy, display, distribute, modify, publish, reproduce, store, transmit, post, translate, perform, licence, archive, create any derivative works from, or in any way exploit any part of any intellectual property or other information, content, materials available on or through the Product;
- (c) except as may be provided hereunder, host, display, upload, modify, publish, transmit, store, update or share any information that (i) belongs to a third party and to which you do not any right, or (ii) is patently false and untrue, and is written or published with the intent to mislead or harass a person, entity or agency or to cause any injury to any person;
- (d) use the Product to transmit any data or send or upload any material that contains viruses, trojan horses, worms, timebombs, keystroke loggers, spyware, adware, or any other harmful programmes or similar computer code designed to adversely affect the operation of any computer software or hardware;
- (e) circumvent, remove, degrade or deactivate any of the contents of the Product and/or use any robot, spider, other automated device, or manual process to monitor or copy the Product or any portion thereof;
- (f) insert any code or product or manipulate the content of the Product in any way, or use any data mining, data scraping, data gathering or extraction method on the Product;
- (g) engage in the systematic retrieval of content from the Product to create or compile, directly or indirectly, a collection, compilation, database, or directory;
- (h) upload or transmit any information or content that is defamatory, obscene, pornographic, paedophilic, immoral, invasive of another's privacy (including bodily privacy), insulting or harassing on the basis of gender, libellous, racially or ethnically objectionable, or is relating to or encouraging money laundering or gambling, an online game that causes user harm, or promoting enmity between different groups on the grounds of religion or caste with the intent to incite violence;
- (i) act in an abusive or threatening manner or use abusive or threatening language on or through the Product;
- (j) use the Product to develop a competitive product offering promote or support any product or service that is competitive with Apna's services and products;
- (k) upload or transmit information or content that is harmful to children or that impersonates another person, or deceive or mislead any addressee about the origin of a message, or knowingly and intentionally communicates any misinformation or information which is patently false and untrue or misleading in nature or, in respect of any business of the Indian government, is identified as fake or false or misleading by the fact check unit of the Indian government;
- (l) threaten the unity, integrity, defence, security, or sovereignty of India, friendly relations with foreign states, or public order, or cause incitement to the commission of any cognizable offence, or prevent investigation of any offence, or insult another nation in any manner;
- (m) use the Product in any unlawful manner, for fraudulent or malicious activities, or in any manner inconsistent with these Terms;
- (n) reverse engineer, decompile, or disassemble the Product;
- (o) abuse unlimited plans or attempting to circumvent fair usage policies;
- (p) take any action that may adversely affect the Product; or
- (q) violate applicable laws in any manner.
You shall not use the Product in any manner except as expressly permitted in these Terms. Without limiting the generality of the preceding sentence, you shall not:
8. USE OF THIRD PARTY SERVICES
- 8.1. The Product may include services, including artificial intelligence and machine learning technologies, content, documents, and information owned by, licensed to, or otherwise made available by a third party or our affiliates (“Third Party Services”), and may also include links to the Third Party Services. By using or enabling any access or use of the Third-Party Services, User has authorised Apna to provide, on User's behalf, an integration with the Third-Party Services and has provided all permissions required under applicable law.
- 8.2. You understand and acknowledge that Third Party Services are the responsibility of the respective third-party or affiliate that renders such Third Party Services. You further acknowledge that your use of such Third Party Services is solely at your own risk. Apna does not guarantee that it will continue to make available or maintain integrations with any Third-Party Services, and moreover, Apna may disable such integrations at any time with or without notice to User. User agrees to indemnify, defend and hold harmless Apna against any claim arising out of or relating to User’s use of any Third-Party Services.
- 8.3. We make no representations and disclaim all warranties and liabilities arising out of or pertaining to such Third Party Services, including their accuracy or completeness. Should you avail any Third Party Service, you shall be governed and bound by the additional terms and conditions of the applicable third party or the affiliate providing the Third Party Service.
9. DISCLAIMERS
- 9.1. The use of the Product is at your sole risk. You hereby accept full responsibility for any consequences that may arise from your use of the Product, and expressly agree and acknowledge that Apna shall have absolutely no liability with respect to the same.
- 9.2. To the fullest extent permitted under applicable law, the Product and other products, information, materials, and services provided by Apna are provided on an “as is” and “as available” basis. To the fullest extent permitted under applicable law, Apna disclaims all warranties of any kind, express or implied, arising out of the Product, including merchantability, fitness for a particular purpose, title, and non-infringement, and all warranties arising from course of dealing, usage, or trade practice in respect to the same. Without limiting the foregoing, Apna makes no warranty of any kind that the Product, or any products or results of the use thereof, will meet your or any other persons' requirements, operate without interruption, achieve any intended result, be compatible or work with any software, systems, or other services, be secure, accurate, complete, free of harmful code or error-free
- 9.3. You understand that we shall in no manner be held liable for any unauthorised use of the Product due to unauthorised access, including but not limited to hacking and security breaches.
- 9.4. You understand and agree that we do not accept any responsibility or liability for any loss or damage that you may suffer or incur if any information, documentation, material, or data provided to avail the Product is incorrect, incomplete, inaccurate, or misleading, or if you fail to disclose any material fact
- 9.5. You hereby accept full responsibility for any consequences that may arise from your use of the Product, and expressly agree and acknowledge that Apna shall have absolutely no liability with respect to the same
- 9.6. To the fullest extent permissible by law, Apna, its affiliates, and its related parties each disclaim all liability to you for any loss or damage arising out of or due to:
- (a) your use or inability to use, or availability or unavailability of the Product, including any Third Party Services
- (b) the occurrence or existence of any defect, interruption, or delays in the operation or transmission of information to, from, or through the Product, communications failure, theft, destruction, or unauthorised access to Apna’s records, programmes, services, servers, or other infrastructure relating to the Product and/or the Platform;
- (c) he failure of the Product to remain operational for any period of time; or
- (d) the collection or processing of your personal information by Apna.
- 9.7. You agree that you are solely responsible for the content of any calls, interviews or recordings made using the Product. Apna shall not review, validate, or assume any responsibility for the content transmitted, stored, or created by you through the Product. Without limitation, Apna disclaims all liability related to: (a) claims of spam, telemarketing violations, robocalls, breach of the DNC (Do Not Call) registry, or any regulatory penalties or third-party claims arising out of use of the Products in breach of applicable laws, including telecommunications laws
- 9.8. You agree and acknowledge that Apna utilises third-party AI platforms to provide the Product. You acknowledge that your data may be processed by such third-party platforms. Apna disclaims all liability for the loss of data, errors, and downtime, governmental policy or enforcement actions related to these platforms. Apna has no control over these platforms and shall not be held responsible for their performance, availability, or accuracy
- 9.9. You also agree and acknowledge that there can be disruption in communication due to factors outside our control, including but not limited to your device being switched off, incorrect email address, and network interruptions. You agree not to hold us liable for non-delivery for any alert or any loss suffered by you due to any delay, distortion or failure of communication.
- 9.10. You further agree and acknowledge that offers provided by us may vary from user to user
10. INTELLECTUAL PROPERTY
- 10.1. All rights, title, and interest in and to the Product, including text, graphics, software, photographs and other images, videos, sounds, technical flow, source code, trademarks, and service marks are owned by or otherwise licensed to us. Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable, royalty-free, revocable, and limited right to use the Product
- 10.2. All names, whether or not appearing with the trademark symbol, are trademarks that belong to us unless otherwise stated by us. The use or misuse of these trademarks or any other materials, except as permitted in these Terms, is expressly prohibited and may be in violation of copyright law, trademark law, and any other applicable law.
- 10.3. The contents of the Product are subject to copyright protection. The contents of the Product may not be copied, recopied, reproduced, or otherwise redistributed. You should not copy, display, download, distribute, modify, reproduce, republish, or retransmit any information, text, or documents contained in the Product or any portion thereof in any electronic medium or in hard copy, or create any derivative work based on such images, texts or documents, without our express written consent or as otherwise permitted in these Terms
- 10.4. Apna may request you to submit suggestions and other feedback, including bug reports, relating to the Product, from time to time (“Feedback”). Apna may freely use, copy, disclose, publish, display, distribute, and exploit the Feedback without any payment of royalty, acknowledgement, prior consent, or any other form of restriction arising out of your intellectual property rights. You hereby waive any rights you may have that arise out of such Feedback and agree to execute such documentation as Apna may request to give effect to Apna’s rights under this Clause
- 10.5. You may upload or submit certain information, content, submissions, ideas, suggestions, proposals, plans, or other material, whether with or without our request (collectively, “ Content”). You hereby grant us a non-exclusive, worldwide, perpetual, irrevocable, transferable, sublicensable, and royalty-free license to use, display, store, host, communicate, make available, modify, adapt, translate and create derivative works of the Content
- 10.6. Except as stated in these Terms, nothing in these Terms should be construed as conferring any right in or license to our or any third party's intellectual property rights.
11. USE OF YOUR INFORMATION BY APNA
- You agree that we may use your information, technical data and related information in accordance with our Privacy Policy.
12. TERMINATION OF LICENCE AND YOUR ACCESS TO THE PLATFORM
- 12.1. These Terms shall remain in effect unless terminated in accordance with the terms hereunder.
- 12.2. We may terminate your access or use of the Product, or any portion thereof, immediately and at any point, at our sole discretion, if you violate the Terms or the Privacy Policy or when you cease to become a user of our services.
- 12.3. Your access to the Product may also be terminated further to any requests by authorised law enforcement and/or other government and regulatory agencies and authorities.
- 12.4. Upon termination of these Terms:
- (a) You may be logged out of your account on the Product; and
- (b) these Terms and any licence granted herein shall terminate, except for those clauses that expressly or are intended to survive termination or expiry.
13. LIABILITY
- To the extent permitted by applicable laws, in no event shall Apna, our subsidiaries, affiliates, officers, employees, directors, agents, contractors, partners, suppliers, or licensors be liable to you or any third party for any special, indirect, incidental, consequential, punitive, reliance, or exemplary (including without limitation lost business opportunities, loss of profits (including anticipated profits) or any other pecuniary or non-pecuniary losses including but not limited to breach or loss of data, or goodwill, regardless of whether we have been advised of the possibility of such damages, or based on any theory of liability, including breach of contract or warranty, negligence or other tortious action or any other claim arising out of or relating to
- (a) your access to, use of or inability to access or use the Product;
- (b) any act, omission, misrepresentation, misconduct or unlawful conduct of any third-party, including other users, advertisers, or service providers in relation to or through the Product;
- (c) any unauthorised access to, use of or alteration of your transmissions or content on the Product;
- (d) any errors, omissions, delays, interruptions, defects, or failures in any service or content provided on or through the Product, whether caused by a technical malfunction or otherwise; and/or
- (e) decisions or transactions made based on any information, content, or services made available via the Product, including employment, investment or financial decisions.
14. INDEMNIFICATION
- You agree to indemnify, defend at our option and hold Apna and our subsidiaries, affiliates, and their officers, directors, agents, employees, partners, representatives and licensors harmless from and against any or all claim, demand, suit, judicial proceeding, losses, liabilities, damages and costs (including but not limited to any attorney's fees, damages, liabilities and settlements) due to or arising out of:
- (a) your access to and/or use of the Product;
- (b) violation of these Terms or any other terms and conditions communicated by us;
- (c) violation of any third party rights by you;
- (d) violation of applicable law;
- (e) gross negligence; and
- (f) wilful misconduct and fraud.
15. JURISDICTION AND GOVERNING LAWS
- 15.1. These Terms shall be governed by and construed and enforced in accordance with the laws of India. Subject to other provisions in this Clause, courts in Bengaluru, Karnataka shall have exclusive jurisdiction over all issues arising out of these Terms.
- 15.2. Any controversies, conflicts, disputes, or differences arising out of these Terms shall be resolved by arbitration in Bengaluru in accordance with the Arbitration and Conciliation Act, 1996 for the time being in force, which is deemed to be incorporated by reference in this Clause. The tribunal shall consist of 1 (one) arbitrator appointed by us. The seat of arbitration shall be Bengaluru, and the language of the arbitration shall be English.
- The parties to the arbitration shall keep the arbitration confidential and not disclose to any person, other than on a need-to-know basis or to legal advisors, unless required to do so by law. The decision of the arbitrator shall be final and binding on all the parties hereto
- Each party to the arbitration shall bear its own costs with respect to any dispute
16. PROMOTION
- 16.1. We may send all communications to our users by text messages, electronic mails, WhatsApp messages, push notifications and/or via other progressive technology in connection with your access to the Product and as part of our promotional and marketing strategy. You expressly consent to receiving all messages, emails and/or WhatsApp messages including transactional messages from us, any third parties and our affiliates. We may use third-party service providers to send alerts or to communicate with you.
- 16.2. You further acknowledge that you are responsible for the contact details shared with us and shall update us on any change to your contact details
17. CHANGES TO TERMS
- Apna may from time to time amend these Terms (including the Privacy Policy) and/or change/modify our Product from time to time to reflect changes to our Users’ needs and our priorities. We recommend that you periodically check these Terms for the most recent version. Such changes will be effective immediately upon being published on the Product and/or Platform. Your continued use of the Product will indicate your acceptance of the last version of the Terms as published on the Product. If you do not agree to the change(s) made to the Terms, you must immediately cease your use of the Product.
18.1 SEVERABILITY
- If any provision of the Terms is found unlawful or unenforceable by a court, the other provisions will remain in effect. If an unlawful or unenforceable part could be made lawful by deletion, that part will be deleted, and the rest of the provision will continue, unless it contradicts the clause's clear intention, in which case the entire provision will be deleted.
18.2 ASSIGNMENT
- You may not license, sell, transfer, or assign your rights, obligations, or covenants under these Terms without prior written consent from us. We may grant or withhold this consent at our sole discretion and subject to any deemed appropriate conditions.
18.3 THIRD PARTY RIGHTS
- No third party shall have any rights to enforce any terms contained within this document.
18.4 FORCE MAJEURE
- We shall have no liability to you if we are prevented from or delayed in performing obligations or carrying on business due to acts, events, omissions, or accidents beyond our reasonable control. This includes, but is not limited to, strikes, utility service or telecommunications network failures, acts of God, war, riot, civil commotion, malicious damage, or compliance with any law or governmental order, rule, regulation, or direction.
18.5 REGULATORY CHANGES
- We acknowledge and agree that we may need to modify the Product to comply with applicable laws. As a result, you may be unable to access or use all or part of the Product, and we shall not be liable for such inability to use the Product due to compliance with applicable laws.
18.6 MODIFICATION
- We reserve the right to add, modify, or discontinue, temporarily or permanently, any aspect of the Product, with or without notice or cause. Apna shall not be liable for any consequences resulting from such addition, modification, suspension, or discontinuation, except as may be required under applicable laws.
