Job Description

Are you a qualified Company Secretary professional with strong expertise in corporate governance and statutory compliance, and an interest in contributing to a global organization? Ramboll’s Global Legal Operations (GLO) team is seeking a full-time Corporate Legal Analyst to join our growing team in India.

The GLO team provides centralized legal services to Ramboll’s diverse businesses and supports legal teams across Continental Europe, APAC, India, the UK, and the US. The team handles a wide range of corporate legal matters, including corporate governance and compliance, contract review, professional indemnity insurance, claims support, and corporate/company secretarial support for designated regions. This role will primarily focus on company secretarial services, legal entity management, and supporting the highest standards of corporate governance and compliance across Ramboll group companies globally.

Your Role:

As a Corporate Legal Analyst, you will play a key role in supporting the delivery of efficient, compliant, and legally sound corporate legal services. Your responsibilities will include:

  • Manage day-to-day company secretarial operations for group companies across India and international jurisdictions.
  • Maintain accurate master data, statutory registers, corporate records, entity information, and document repositories for all group companies.
  • Track and manage changes relating to directors, shareholders, authorized signatories, registered offices, capital structure, and other corporate information.
  • Prepare and maintain annual compliance calendars, compliance trackers, and governance dashboards for group companies.
  • Coordinate board, committee, shareholder, annual general, and extraordinary general meetings, including preparation of agendas, notices, minutes, resolutions, and supporting documents.
  • Assist with secretarial audits, internal governance reviews, regulatory inspections, and compliance documentation.
  • Coordinate with internal business enablement teams, business stakeholders, external counsel, auditors, consultants, and local corporate service providers.
  • Support entity governance activities across multiple jurisdictions, including approvals, authorizations, appointments, resignations, incorporations, closures, and restructuring support, as required.
  • Support the implementation of global governance policies, standard operating procedures, templates, checklists, and process improvements.

Qualifications

  • Qualified Company Secretary with Associate or Fellow membership of the Institute of Company Secretaries of India.
  • Bachelor’s degree in law, Commerce, Business Administration, or a related discipline.
  • LLB, LLM, or an additional legal or compliance qualification will be an added advantage.
  • 3–4 years of relevant experience in company secretarial, corporate governance, legal entity management, or corporate compliance functions.
  • Experience in multinational organizations, shared services, global legal teams, consulting firms, or corporate secretarial service providers will be preferred.
  • Exposure to managing multiple legal entities and cross-border corporate governance matters will be an advantage.
  • Good understanding of corporate laws, company secretarial practices, governance standards, statutory filings, and board processes.
