Job Description

Corporate Law – Legal AssociateJob Type: Full-Time

Department: Legal / Corporate Affairs

Experience: Minimum 1–2 years of relevant practical experience preferred

About the RoleWe are looking for a smart, motivated and versatile Corporate Law professional with strong practical legal knowledge and real-world experience.

This is not a role for someone whose understanding of law is limited primarily to textbooks or academic study. The candidate should understand how legal work is actually handled in practice — including drafting, documentation, compliance, contracts, notices, research, coordination and dealing with day-to-day legal and commercial situations.

We are looking for someone with a broad understanding of different areas of law, who is willing to take ownership and is open to handling diverse assignments as requirements evolve.

Roles & ResponsibilitiesThe selected candidate will be expected to:

  • Draft, review, revise and negotiate commercial contracts, agreements, NDAs, MOUs, service agreements, vendor agreements and other business documentation.
  • Handle and assist with matters involving Corporate Law, Company Law, Contract Law and commercial legal matters.
  • Have a working understanding of civil law, recovery matters, employment and labour laws, corporate disputes and regulatory/compliance matters.
  • Conduct detailed legal research and, importantly, translate that research into practical solutions.
  • Assist with statutory requirements, corporate compliance, filings and documentation.
  • Draft and review legal notices, replies, demand notices, recovery documentation and other legal correspondence.
  • Coordinate with advocates, law firms, Chartered Accountants, Company Secretaries, consultants and government/regulatory authorities where required.
  • Review proposed business arrangements and identify legal, contractual and commercial risks.
  • Assist management during negotiations and provide practical legal input.
  • Handle legal documentation and maintain proper corporate and contractual records.
  • Monitor important legal deadlines, renewals, filings and compliance requirements.
  • Assist with due diligence relating to projects, companies, vendors, transactions and potential business opportunities.
  • Research new laws, regulations, judgments and regulatory developments affecting the organisation.
  • Work on special assignments across different areas of law whenever required.
  • Take ownership of matters and follow them through from research and drafting to coordination and closure.

Practical Knowledge Is EssentialThis is an important requirement for the position.

We are specifically looking for candidates with practical knowledge of legal work, not merely textbook or theoretical knowledge.

Candidates should understand how laws and legal principles are actually applied in real business and professional situations.

For example, knowing the law relating to contracts is important, but the candidate should also be comfortable reading an actual agreement, identifying problematic clauses, suggesting changes, understanding the commercial consequences and helping negotiate a practical solution.

Similarly, candidates should have practical familiarity with documentation, notices, compliance, corporate procedures and the way legal matters progress in the real world.

Candidates whose experience is predominantly academic with little practical exposure may not be suitable for this position.

Broad Legal KnowledgeThe candidate should have a strong overall understanding of the major areas of law relevant to businesses and should not be comfortable working only within one narrow specialisation.

Nobody is expected to know every provision of every law from memory. However, we expect candidates to possess a strong legal foundation, practical experience and the ability to independently research and understand unfamiliar matters when necessary.

The ideal candidate should be able to approach a new issue, determine which laws and regulations apply, research the matter properly and develop a practical course of action.

A Diverse RoleThis is deliberately a diverse legal position.

While Corporate Law will remain at its core, the successful candidate should be willing to work across contracts, company law, compliance, civil and recovery matters, employment issues, legal research, due diligence, documentation and other legal or commercial matters that arise within the organisation.

We do not want someone who responds to every unfamiliar matter with “this isn't my area.”

Instead, we're looking for someone whose approach is:

“I may not have handled this exact situation before, but I understand the law, I know how to research it, and I can work out the correct way to handle it.”
