Job Description
Foxhog Ventures is looking to hire a capable and commercially minded Legal Officer to support the company’s investment transactions, contract management, statutory compliance and dispute-resolution requirements.
The successful candidate will be responsible for drafting and negotiating investment and commercial documents, managing agreements, supporting Ministry of Corporate Affairs compliance and coordinating civil disputes. The position requires strong legal knowledge, excellent communication skills and a confident professional presence.
- Key ResponsibilitiesLegal Drafting and Agreement ManagementDraft, review, revise and negotiate commercial and corporate agreements.
- Develop and maintain standard legal templates for the company.
- Manage the complete lifecycle of agreements—from initial drafting and negotiation to execution, renewal and termination.
- Maintain an organised central repository of signed agreements and supporting documents.
- Monitor contractual obligations, renewal dates, notice periods and compliance deadlines.
- Draft confidentiality agreements, service agreements, consultancy agreements, employment documents, vendor contracts and memoranda of understanding.
- Investment TransactionsDraft, review and negotiate Share Subscription and Shareholders’ Agreements (SSHA).
- Prepare and review investment agreements, term sheets, share-purchase agreements and related transaction documents.
- Support the legal due-diligence process for investments and portfolio companies.
- Review corporate records, licences, contracts, financial documents and regulatory information during transactions.
- Coordinate with founders, investors, advisers and external counsel to close investment transactions.
- Prepare closing checklists and monitor the completion of conditions precedent and conditions subsequent.
- Identify legal and commercial risks and recommend appropriate contractual safeguards.
- MCA and Corporate ComplianceSupport compliance under the Companies Act and applicable Ministry of Corporate Affairs requirements.
- Coordinate the preparation and filing of statutory forms and corporate records.
- Assist with board meetings, shareholder meetings, resolutions, notices, minutes and statutory registers.
- Work with company secretaries and other professionals to ensure timely regulatory filings.
- Monitor changes in corporate and commercial laws relevant to Foxhog and its portfolio companies.
- Maintain proper records of corporate approvals, authorisations and statutory documents.
- Financial and Security DocumentsDraft and review loan agreements, financing documents, guarantees, indemnities and security-related documents.
- Examine financial and transaction documents for legal risks, inconsistencies and compliance requirements.
- Coordinate with finance teams, lenders, borrowers and external advisers on documentation.
- Ensure that financial documents accurately reflect the approved commercial terms.
- Support documentation connected with Foxhog’s investment, lending and other financial activities.
- Civil Disputes and Litigation ManagementDraft and respond to legal notices, demand letters, replies and settlement communications.
- Assist with civil, contractual, commercial and recovery disputes.
- Coordinate with advocates and external legal counsel on court proceedings and arbitration matters.
- Maintain case files, evidence, pleadings, hearing schedules and litigation-status reports.
- Conduct legal research and help management evaluate litigation risks and settlement options.
- Track the timely implementation of legal advice, court directions and settlement terms.
- QualificationsLL.B. degree from a recognised university.
- Enrolment with a State Bar Council in India is preferred.
- Two to five years of relevant experience in a law firm, investment company, financial institution, corporate legal department or startup.
- Practical experience in corporate agreements and investment documentation is strongly preferred.
- Knowledge of the Companies Act, Indian Contract Act and applicable corporate and commercial laws.
- Familiarity with MCA procedures, investment transactions, financing documents and civil litigation.
- Essential SkillsStrong legal-drafting and contract-review abilities.
- Experience negotiating SSHAs, investment agreements and term sheets.
- Sound understanding of corporate and commercial transactions.
- Ability to identify legal, financial and contractual risks.
- Excellent written and spoken English.
- Strong negotiation and stakeholder-management skills.
- Good legal-research and analytical abilities.
- Excellent organisational skills and attention to detail.
- Ability to manage several assignments and meet strict deadlines.
- High standards of confidentiality, integrity and professional ethics.
- Confident, presentable and professional personality.
- Ability to communicate effectively with founders, investors, senior management, lawyers and government authorities.
Preferred Candidate ProfileThe ideal candidate will be proactive, dependable and commercially aware. The candidate should be comfortable independently handling routine legal matters while escalating significant transaction, compliance or litigation risks to senior management.
Foxhog is particularly interested in candidates who combine sound legal judgement with business understanding, strong negotiation skills and a solutions-oriented approach.
