TERMS OF SERVICE


1. Introduction

  1. 1.1 These terms and conditions (“Terms”) govern the access or use of the website Platform (defined below), except where we expressly state that separate terms apply.

  2. 1.2 These Terms shall constitute a binding contract between Apnatime Tech Private Limited (“Apna”, “we”, “us”, or “our”), incorporated in India under the provisions of the Companies Act, 2013, bearing company identification number: U74999MH2019PTC325170 and having its corporate office at 1st Floor, Tower A, 150, Bizzhub Esquire, Old Airport Road, Diamond District, Kodihalli, Bengaluru, Bengaluru Urban, Karnataka, 560008 and you, a user of the Platform (“Job Poster”, “you”, or “your”).

  3. 1.3 Accessing or using the Platform shall be deemed to constitute sufficient proof that you have read, understood, and accepted these Terms. These Terms are to be read in conjunction with the Privacy Policy.

  4. 1.4 Your access and use of the Platform constitute your agreement to be bound by these Terms, which establish a contractual relationship between you and Apna. If you do not agree to these Terms, you may not access or use the Platform.

  5. 1.5 For the purpose of further clarity, this document is an electronic record in terms of the Information Technology Act, 2000 (“IT Act”), amendments thereof from time to time and the rules thereunder as applicable. This electronic record is generated by a computer system and does not require any physical or digital signatures.

2. Definitions

  1. 2.1 “Additional Terms and Conditions” shall mean any guidelines, additional terms, policies, or disclaimers made available or issued by us, any third party or Affiliate from time to time in relation to the respective Service.

  2. 2.2 “Affiliate(s)” shall mean group companies, affiliates, associates, and/or subsidiaries of Apna.

  3. 2.3 “Applicable Law(s)” means any statute, law, regulation, ordinance, rule, judgment, notification, order, decree, by-law, permit, licences, approvals, consents, authorisations, government approvals, directives, guidelines, requirements, or other governmental restrictions, or any similar form of a decision of, or determination by, or any interpretation, policy or administration, having the force of law, by any Authority, whether in effect as on the date of your agreement to these Terms or at any time thereafter.

  4. 2.4 “Authority” shall mean any judicial, quasi-judicial, governmental authority, statutory authority, regulatory authority, government department, agency, commission, board, rule or regulation-making entity or authority having or purporting to have jurisdiction over you or us, or any court or tribunal having jurisdiction.

  5. 2.5 “Job Poster”, “you”, or “your” shall mean any user with a verified Account who may post job opportunities on the Platform.

  6. 2.6 “Mobile Application” shall mean ‘apnajobs’ — the mobile application owned and operated by Apna.

  7. 2.7 “Paid Services” means the premium services offered by Apna on fees, including but not limited to: (i) Job Posts; (ii) Database Views; (iii) Subscription Plans; (iv) Apna Credits and Apna Coins; (v) Enterprise Account services; (vi) AI Calling Agent; and (vii) any other premium features or services introduced by Apna from time to time.

  8. 2.8 “Platform” shall mean the Mobile Application and Website.

  9. 2.9 “Website” shall mean the website owned and operated by Apna available at https://apna.co/.

3. User Acknowledgement

  1. 3.1 You acknowledge that by accessing the Platform, you expressly consent and confirm to be bound by these Terms.

4. Eligibility

  1. 4.1 By accepting these Terms, you represent and warrant that:

    (a) you have full legal capacity, right, and authority to agree to and be bound by these Terms; (b) you are at least 18 (eighteen) years of age or older; (c) you have not been previously suspended or removed by Apna or any of its affiliates from accessing the Platform; (d) you are not barred or otherwise legally prohibited from accessing the Platform; and (e) you are not and will not impersonate any person or entity or falsely state or misrepresent such person’s or entity’s identity.

  2. 4.2 If you represent an entity, organisation, or any other legal person (not being a natural person), you confirm that you are duly authorised by such entity or its management to accept these Terms and have the necessary power and authority to bind such entity, organisation, or legal person to these Terms.

  3. 4.3 If at any time Apna is of the opinion that you do not satisfy the eligibility criteria, Apna retains the right to disable your access to the Platform with immediate effect.

5. Account Creation

  1. 5.1 To avail the full features of the Platform or access Apna’s services, you may be required to create an account on the Platform and furnish certain details, including but not limited to your name and email address. If you represent an organisation, additional information relating to the organisation’s business and contact details may be required.

  2. 5.2 Job Posters may create accounts through the single sign-on feature using Third Party Services. Please refer to Clause 10 of these Terms for details relating to Third Party Services.

  3. 5.3 You are solely responsible for maintaining the security and confidentiality of your username and password and agree to immediately notify Apna of any unauthorised use of your account or any breach of security.

  4. 5.4 You are solely responsible for maintaining the security, data protection, and confidentiality of candidate and employee data received through the Platform and shall comply with all Applicable Laws relating to data privacy and data protection.

  5. 5.5 You expressly agree to be liable and accountable for all activities conducted through your account. Apna shall not be liable for any unauthorised access to or use of such accounts. A Job Poster shall not register or operate more than one Job Poster account with Apna.

  6. 5.6 You agree to receive communications from Apna regarding: (i) the Platform and services availed by you; (ii) promotional offers and services from Apna and its third-party partners; and (iii) any other matter relating to the Platform.

6. Use of the Platform

  1. 6.1 You will be entitled to utilise the Platform to post job listings for the purpose of sourcing and hiring potential candidates and employees for your organisation. You shall have access to view profiles of suitable candidates who possess the requisite skills and experience for the job(s) you seek to fill and may schedule interviews with such candidates through the Platform’s available features.

  2. 6.2 You shall provide complete and accurate information when posting any job listing, including but not limited to: (i) job role and description; (ii) employment type (part-time or full-time); (iii) working days and schedules; (iv) salary range and compensation details; (v) number of available openings; (vi) minimum education requirements; and (vii) required level of experience. While Apna does not tolerate discrimination based on gender, certain positions may be gender-specific where legally permissible and job-relevant.

  3. 6.3 You acknowledge and agree that job applications submitted by candidates shall remain active and accessible for a period of 60 (Sixty) days from the date of application (“Active Period”). Upon expiry of the Active Period, such applications shall be automatically archived (“Archived Job Applications”), and you shall no longer have access to view, download, or otherwise use the archived applications or associated candidate information.

  4. 6.4 You understand that candidates may reapply to active job postings after the expiration of 60 (Sixty) days from their initial application date. You shall not attempt to circumvent these access limitations or retain candidate information beyond the prescribed Active Period, except as expressly permitted under these Terms or with Apna’s prior written consent.

  5. 6.5 You acknowledge and agree that any incorrect information, misrepresentation, or misleading content in job postings will materially affect the efficacy of the Platform and Apna’s services. Apna reserves the absolute right, at its sole discretion, to remove any job posting and/or suspend or terminate your account for any violation of these Terms.

7. Paid Services

  1. 7.1 The Paid Services shall be governed by the terms and conditions set out in Annexure A of these Terms.

8. User’s Representations and Warranties

  1. 8.1 The Job Poster represents and warrants that the Job Poster shall:

    1. (a) comply with Applicable Law with respect to the use of the Platform;

    2. (b) comply with Apna’s Code of Conduct (as may be amended from time to time) when posting jobs through the Platform and utilising any of Apna's services. You agree to conduct yourself in a professional manner and in accordance with all applicable laws, regulations, and industry best practices. Any violation of the Code of Conduct may result in immediate suspension or termination of your account and access to the Platform, at Apna's sole discretion and without prior notice;

    3. (c) ensure all information provided in connection with job postings shall be accurate, complete, and not misleading in any manner;

    4. (d) own or have obtained all necessary rights, licenses, consents, and authority to use, reproduce, distribute, display, and transmit Your Content on the Platform;

    5. (e) possess all requisite Intellectual Property Rights in Your Content, including but not limited to copyrights, trademarks, patents, trade secrets, and moral rights;

    6. (f) ensure that Your Content does not and will not infringe, violate, or misappropriate any third-party rights;

    7. (g) not engage in any discriminatory practices prohibited by Applicable Law;

    8. (h) possess the requisite authority to post job listings on behalf of your organisation;

    9. (i) ensure that your job postings comply with all applicable employment laws and regulations;

    10. (j) promptly notify Apna of any complaint or claim about any unauthorised or illegal use of the Platform which the Job Poster becomes aware of, and fully cooperate with Apna to help regain possession thereof and prevent further unauthorised use;

    11. (k) obtain and maintain any equipment and ancillary services needed to connect to, access or otherwise use the Platform, including, without limitation, modems, hardware, servers, software, operating systems, and networking infrastructure.

9. Restrictions

  1. 9.1 You shall not use the Platform in any manner except as expressly permitted under these Terms. Without limiting the generality of the foregoing, you shall not:

    1. (a) infringe, violate, or misappropriate any proprietary or intellectual property rights, including copyrights, patents, trademarks, or trade secrets, of any party;

    2. (b) except as expressly permitted, sell, copy, display, distribute, modify, publish, reproduce, store, transmit, post, translate, perform, licence, archive, create derivative works from, or otherwise exploit any content, materials, or information available on or through the Platform;

    3. (c) upload, transmit, or distribute any material that contains viruses, trojan horses, worms, timebombs, keystroke loggers, spyware, adware, or any other harmful or malicious computer code;

    4. (d) circumvent, remove, degrade, deactivate, or interfere with any security-related features of the Platform or use any robot, spider, automated device, or manual process to monitor or copy any portion of the Platform;

    5. (e) insert any code, manipulate Platform content, or use data mining, data scraping, data gathering, or extraction methods on the Platform;

    6. (f) engage in the systematic retrieval of content from the Platform to create or compile, directly or indirectly, a collection, compilation, database, or directory;

    7. (g) upload or transmit any information or content that is obscene, pornographic, paedophilic, immoral, invasive of another’s privacy, or relates to or encourages money laundering, gambling, or activities that cause user harm, or promotes enmity or hatred with intent to incite violence;

    8. (h) act in an abusive, threatening, harassing, or intimidating manner or use abusive or threatening language on or through the Platform;

    9. (i) use the Platform to develop, promote, support, or operate any product or service that competes with Apna’s services or products;

    10. (j) upload or transmit content that is harmful to children, impersonates another person, deceives or misleads the recipient about the origin of a message, or knowingly communicates false, misleading, or fake information;

    11. (k) threaten the unity, integrity, defence, security, or sovereignty of India, friendly relations with foreign states, public order, or incite the commission of any cognizable offence;

    12. (l) use the Platform in any unlawful manner or for any fraudulent, deceptive, or malicious activities;

    13. (m) reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform;

    14. (n) take any action that adversely affects or disrupts the Platform, its infrastructure, or its performance; or

    15. (o) violate Applicable Laws in any manner.

10. Use of Third Party Services

  1. 10.1 The Platform may include services, including artificial intelligence and machine learning technologies, content, documents, and information owned by, licensed to, or otherwise made available by a third party or our affiliates (“Third Party Services”), and may also include links to the Third Party Services. By using or enabling any access or use of the Third-Party Services, Job Poster has authorised Apna to provide, on Job Poster's behalf, an integration with the Third-Party Services and has provided all permissions required under applicable law.

  2. 10.2 You understand and acknowledge that Third Party Services are the responsibility of the respective third-party or affiliate that renders such Third Party Services. You further acknowledge that your use of such Third Party Services is solely at your own risk. Apna does not guarantee that it will continue to make available or maintain integrations with any Third-Party Services, and moreover, Apna may disable such integrations at any time with or without notice to the Job Poster. Job Poster agrees to indemnify, defend, and hold harmless Apna against any claim arising out of or relating to Job Poster’s use of any Third-Party Services.

  3. 10.3 We make no representations and disclaim all warranties and liabilities arising out of or pertaining to such Third Party Services, including their accuracy or completeness. Should you avail any Third Party Service, you shall be governed and bound by the additional terms and conditions of the applicable third party or the affiliate providing the Third Party Service.

11. Disclaimers

  1. 11.1 The use of the Platform is at your sole risk. You hereby accept full responsibility for any consequences that may arise from your use of the Platform, and expressly agree and acknowledge that Apna shall have absolutely no liability with respect to the same.

  2. 11.2 To the fullest extent permitted under applicable law, the Platform and other products, information, materials, and services provided by Apna are provided on an “as is” and “as available” basis. Apna disclaims all warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement.

  3. 11.3 You understand that we shall in no manner be held liable for any unauthorised use of the Platform due to unauthorised access, including but not limited to hacking and security breaches.

  4. 11.4 You understand and agree that we do not accept any responsibility or liability for any loss or damage that you may suffer or incur if any information, documentation, material, or data provided to avail the Platform is incorrect, incomplete, inaccurate, or misleading, or if you fail to disclose any material fact.

  5. 11.5 You hereby accept full responsibility for any consequences that may arise from your use of the Platform, and expressly agree and acknowledge that Apna shall have absolutely no liability with respect to the same.

  6. 11.6 You agree and acknowledge that Apna utilises third-party AI platforms to provide the Platform and ancillary services. You acknowledge that your data may be processed by such third-party platforms. Apna disclaims all liability for the loss of data, errors, and downtime, governmental policy or enforcement actions related to these platforms. Apna has no control over these platforms and shall not be held responsible for their performance, availability, or accuracy.

  7. 11.7 To the fullest extent permissible by law, Apna, its affiliates, and its related parties each disclaim all liability to you for any loss or damage arising out of or due to:

    1. (a) Your use or inability to use, or availability or unavailability of the Platform, including any Third Party Services;

    2. (b) The occurrence or existence of any defect, interruption, or delays in the operation or transmission of information to, from, or through the Platform, communications failure, theft, destruction, or unauthorised access to Apna's records, programmes, services, servers, or other infrastructure relating to the Platform;

    3. (c) The failure of the Platform to remain operational for any period of time; or

    4. (d) The collection or processing of your personal information by Apna.

12. Intellectual Property

  1. 12.1 All rights, title, and interest in and to the Platform, including text, graphics, software, photographs and other images, videos, sounds, trademarks, and service marks are owned by or otherwise licensed to us. Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable, royalty-free, revocable, and limited right to use the Platform.

  2. 12.2 All names, whether or not appearing with the trademark symbol, are trademarks that belong to us unless otherwise stated by us. The use or misuse of these trademarks or any other materials, except as permitted in these Terms, is expressly prohibited and may be in violation of copyright law, trademark law, and any other applicable law. You shall not display, use, reproduce, or otherwise utilise any names, logos, marks, labels, trademarks, service marks, or other intellectual rights of any third party on the Platform without obtaining prior written authorisation from such third party. You agree to provide Apna with evidence of such authorisation upon request.

  3. 12.3 The contents of the Platform are subject to copyright protection. The contents of the Platform may not be copied, recopied, reproduced, or otherwise redistributed. You should not copy, display, download, distribute, modify, reproduce, republish, or retransmit any information, text, or documents contained in the Platform or any portion thereof in any electronic medium or in hard copy, or create any derivative work based on such images, texts or documents, without our express written consent or as otherwise permitted in these Terms.

  4. 12.4 Apna may request you to submit suggestions and other feedback, including bug reports, relating to the Platform, from time to time (“Feedback”). Apna may freely use, copy, disclose, publish, display, distribute, and exploit the Feedback without any payment of royalty, acknowledgement, prior consent, or any other form of restriction arising out of your intellectual property rights. You hereby waive any rights you may have that arise out of such Feedback and agree to execute such documentation as Apna may request to give effect to Apna’s rights under this Clause.

  5. 12.5 You may upload or submit certain information, content, submissions, ideas, suggestions, proposals, plans, or other material, whether with or without our request (collectively, “Content”). You acknowledge that Apna exercises no control over, and accepts no responsibility for, Your Content. Apna reserves the absolute right, in its sole discretion and without prior notice, to remove, disable access to, or modify Your Content if Apna believes, in good faith, that such content violates these Terms, infringes third-party rights, or is otherwise objectionable. You acknowledge that Apna has no obligation to monitor Your Content, but may do so at its discretion. You hereby grant us a non-exclusive, worldwide, perpetual, irrevocable, transferable, sublicensable, and royalty-free license to use, display, store, host, communicate, make available, modify, adapt, translate and create derivative works of the Content.

  6. 12.6 Except as stated in these Terms, nothing in these Terms should be construed as conferring any right in or license to our or any third party’s intellectual property rights.

13. Use of Your Information by Apna

You agree that we may use your information, technical data, and related information in accordance with our Privacy Policy.

14. Termination of Licence and Your Access to the Platform

  1. 14.1 These Terms shall remain in effect unless terminated in accordance with the terms hereunder.

  2. 14.2 We may terminate your access or use of the Platform, or any portion thereof, immediately and at any point, at our sole discretion, if you violate the Terms or the Privacy Policy, or when you cease to become a user of our services.

  3. 14.3 Your access to the Platform may also be terminated further to any requests by authorised law enforcement and/or other government and regulatory agencies and authorities.

  4. 14.4 Upon termination of these Terms:

    1. (a) The Platform will "time-out"; and

    2. (b) These Terms and any licence granted herein shall terminate, except for those clauses that expressly or are intended to survive termination or expiry.

15. Liability

  1. 15.1 To the extent permitted by Applicable Laws, in no event shall Apna, our subsidiaries, affiliates, officers, employees, directors, agents, contractors, partners, suppliers, or licensors be liable to you or any third party for any special, indirect, incidental, consequential, punitive, reliance, or exemplary damages (including without limitation lost business opportunities, loss of profits (including anticipated profits) or any other pecuniary or non-pecuniary losses including but not limited to breach or loss of data, or goodwill), regardless of whether we have been advised of the possibility of such damages, or based on any theory of liability, including breach of contract or warranty, negligence or other tortious action or any other claim arising out of or relating to:

    1. (a) Your access to, use of, or inability to access or use the Platform;

    2. (b) Any act, omission, misrepresentation, misconduct, or unlawful conduct of any third-party, including other users, advertisers, or service providers in relation to or through the Platform;

    3. (c) Your infringement of any Intellectual Property Rights or other rights of any third party;

    4. (d) Any unauthorised access to, use of, or alteration of your transmissions or content on the Platform;

    5. (e) Any errors, omissions, delays, interruptions, defects, or failures in any service or content provided on or through the Platform, whether caused by a technical malfunction or otherwise; and/or

    6. (f) Decisions or transactions made based on any information, content, or services made available via the Platform, including investment or financial decisions.

16. Indemnification

  1. 16.1 You agree to indemnify, defend (at our option), and hold Apna and our subsidiaries, affiliates, and their officers, directors, agents, employees, partners, representatives, and licensors harmless from and against any and all claims, demands, suits, judicial proceedings, losses, liabilities, damages, and costs (including but not limited to any attorney’s fees, damages, liabilities, and settlements) due to or arising out of:

    1. (a) Your access to and/or use of the Platform;

    2. (b) Violation of these Terms or any other terms and conditions communicated by us;

    3. (c) Violation of any third party rights by you;

    4. (d) Violation of applicable law;

    5. (e) Gross negligence; and

    6. (f) Wilful misconduct and fraud.

17. Limitation of Liability

  1. 17.1 Notwithstanding anything to the contrary contained herein, neither Apna nor any of its affiliates or related parties shall have any liability to you or any third party for any indirect, incidental, special, or consequential damages, or any loss of revenue or profits arising under, directly or indirectly, or relating, in any manner whatsoever, to these Terms, including any action taken by any Authority.

  2. 17.2 Notwithstanding any provision to the contrary, Apna’s maximum aggregate liability to you under these Terms or otherwise for any loss in connection with the Platform shall be limited to INR 1,000.

18. Jurisdiction and Governing Laws

  1. 18.1 These Terms shall be governed by and construed and enforced in accordance with the laws of India. Subject to other provisions in this Clause, courts in Bengaluru, Karnataka shall have exclusive jurisdiction over all issues arising out of these Terms.

  2. 18.2 Any controversies, conflicts, disputes, or differences arising out of these Terms shall be resolved by arbitration in Bengaluru in accordance with the Arbitration and Conciliation Act, 1996, for the time being in force, which is deemed to be incorporated by reference in this Clause. The tribunal shall consist of 1 (one) arbitrator appointed by us. The seat of arbitration shall be Bengaluru, and the language of the arbitration shall be English.

  3. 18.3 The parties to the arbitration shall keep the arbitration confidential and not disclose to any person, other than on a need-to-know basis or to legal advisors, unless required to do so by law. The decision of the arbitrator shall be final and binding on all the parties hereto.

  4. 18.4 Each party to the arbitration shall bear its own costs with respect to any dispute.

19. Promotion

  1. 19.1 We may send all communications to our users by text messages, electronic mails, WhatsApp messages, push notifications, and/or via other progressive technology in connection with your access to the Platform and as part of our promotional and marketing strategy. You expressly consent to receiving all messages, emails, and/or WhatsApp messages, including transactional messages from us, any third parties, and our affiliates. We may use third-party service providers to send alerts or communicate with you.

  2. 19.2 You further acknowledge that you are responsible for the contact details shared with us and shall update us on any change to your contact details.

20. Changes to Terms

  1. Apna may, from time to time, amend these Terms (including the Privacy Policy) and/or change or modify our Platform to reflect changes to our Users’ needs and our business priorities. We recommend that you periodically check these Terms for the most recent version. Such changes will be effective immediately upon being published on the Platform. Your continued use of the Platform will indicate your acceptance of the latest version of the Terms as published on the Platform. If you do not agree to the changes made to the Terms, you must immediately cease your use of the Platform.

21. Miscellaneous

  1. 21.1 Severability: If any provision of these Terms is determined by any court or other competent authority to be unlawful or unenforceable, the other provisions of these Terms will continue in effect. If any unlawful or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed deleted, and the rest of the provision will continue in effect (unless that would contradict the clear intention of the clause, in which case the entirety of the relevant provision will be deemed deleted).

  2. 21.2 Assignment: You shall not license, sell, transfer, or assign your rights, obligations, or covenants under these Terms in any manner without our prior written consent. We may grant or withhold this consent at our sole discretion and subject to any conditions we deem appropriate.

  3. 21.3 Third Party Rights: No third party shall have any rights to enforce any terms contained herein.

  4. 21.4 Force Majeure: We shall have no liability to you if we are prevented from or delayed in performing our obligations or from carrying on our business by acts, events, omissions, or accidents beyond our reasonable control, including, without limitation, strikes, failure of a utility service or telecommunications network, act of God, war, riot, civil commotion, malicious damage, compliance with any law or governmental order, rule, regulation, or direction.

  5. 21.5 Regulatory Changes: You acknowledge and agree that we may have to modify the Platform to comply with applicable laws. As a result, you may be unable to access or use all or any part of the Platform. We shall not be liable to you for such inability to use the Platform pursuant to our compliance with applicable laws.

  6. 21.6 Modification: We reserve the right to add, modify, or discontinue, temporarily or permanently, any aspect of the Platform, with or without notice or cause. Apna shall not be liable for any consequences resulting from such addition, modification, suspension, or discontinuation, except as may be required under applicable laws.

Annexure A: Paid Services

  1. The Paid Services shall be governed by and subject to: (i) Annexure A of these Terms; (ii) these Terms; (iii) Apna's general Terms of Service; and (iv) any separate contractual agreement(s) entered into between the parties relating to the specific Paid Services, including an Order Form (“Service Agreement”). In the event of any conflict or inconsistency between these provisions, the order of precedence shall be: (a) the Service Agreement; (b) these Paid Services Terms and Conditions, including Terms; and (c) the general Terms of Service. You acknowledge that additional or modified terms may be specified in the Service Agreement, and such terms shall take precedence over these general terms to the extent of any conflict.

  2. By subscribing to our Paid Services, you agree to be bound by these additional terms specific to the Paid Services.

  3. 1. Types of Paid Services:

    1. (a) Job Posts: Publication of job listings on the Platform for candidate sourcing.
      1. i. You shall pay the specified fee for each Job Post as determined by Apna.
      2. ii. Job Post validity and lead allocation are determined solely by Apna based on payment tier.
      3. iii. Apna reserves the right to determine, modify or vary at its sole discretion, the validity period and lead limits applicable to job postings on the Apna platform ("Job Posts"). Without limiting the generality of the foregoing, Apna may classify Job Posts into different categories (including, without limitation, work-from-office roles and work-from-home roles), and may prescribe distinct lead limits and validity periods for each such category, as displayed on the Apna platform at the time of creation of the Job Post.
      4. Apna currently recognizes the following types of Job Posts:
        1. 1. Jobs for roles involving work-from-office: There is no maximum cap on the number of leads.
        2. 2. Jobs for roles involving work-from-home: The maximum number of leads shall be subject to lead caps displayed on the Platform at the time of posting, which may vary based on job parameters, including:
          1. (i) Roles where candidates are required to reside in the same city as the job location.
          2. (ii) Roles where candidates may reside in any location within the territory specified on the Platform.
      5. 3. The maximum cap on lead numbers will be met on a ‘first come’ basis. Each Job Post shall automatically expire upon the earlier of: (a) the applicable lead cap being reached; or (b) the expiry of the validity period specified for such Job Post on the Platform at the time of posting. Nothing regarding the ‘maximum cap on lead numbers’ shall be construed as a guarantee for securing such maximum leads.
      6. iv. Job Posts are subject to Apna approval and may be rejected without cause.
    2. (b) Database Views: Access to view candidate profile databases.
      1. i. You shall pay the specified fees for each Database View package.
      2. ii. Number of Database Views shall be determined by Apna based on the payment amount.
      3. iii. Apna reserves the right to modify Database View allocations and pricing.
      4. iv. Database Views are non-transferable and expire as per Apna’s policy.
    3. (c) Subscription Plans: Period-specific access to Job Posts and Database Views.
      1. i. All Subscription Plans have defined validity periods ("Subscription Validity").
      2. ii. Each plan entitles you to a specified number of Job Posts and Database Views.
      3. iii. Upon exhaustion of allocations during Subscription Validity, additional payments may be required.
      4. iv. Apna reserves the right to require top-ups or new subscription purchases at its discretion.
  4. 2. Usage Limitations and Fair Use:

    1. (a) Platform Protection Measures : Notwithstanding your Subscription Plan, Apna reserves the right to:

      1. i. Limit Job Posts and Database Views to protect data integrity and platform efficiency;
      2. ii. Remove, reduce visibility, or restrict responses to Job Posts that receive sufficient responses;
      3. iii. Limit Database Views when Apna determines sufficient profiles have been accessed;
      4. iv. Implement usage caps to maintain service quality for all users.

    2. (b) All determinations regarding “sufficient” usage or responses shall be made in Apna's sole and absolute discretion, and such decisions shall be final and binding.

  5. 3. Credit and Coin System:

    1. (a) Apna Credits and Coins

      1. i. Credits/Coins represent prepaid value for specific Paid Services.
      2. ii. Credit/Coin requirements for services shall be communicated at the time of purchase.
      3. iii. Apna reserves the right to modify credit requirements at any time.
      4. iv. Credits/Coins are non-transferable between users under any circumstances.
    2. (b) Validity and Expiration

      1. i. All Credits/Coins expire 360 days from the date of payment.
      2. ii. No refunds shall be provided for expired Credits/Coins.
      3. iii. Apna may issue promotional Credits/Coins at its sole discretion.
  6. 4. Individual Account:

    1. (a) Account Creation and Access

      1. i. Individual users must create personal Platform accounts.
      2. ii. Payment is required before service commencement.
      3. iii. Subscription Plans are non-transferable and non-sellable.
      4. iv. Credits/Coins purchased individually are for exclusive personal use.
  7. 5. Enterprise Account:

    1. (a) Account Structure: Organisations may create Enterprise Accounts to enable employee access through:

      1. i. Central enterprise account administration;
      2. ii. Designated user accounts for specified employees/representatives.

    2. (b) Credit Management

      1. i. Enterprise Accounts receive credits upon payment confirmation.
      2. ii. Apna reserves the right to modify credit requirements for different service types.
      3. iii. All invoicing shall be conducted in the Enterprise Account holder's name.
    3. (c) Designated User Management

      1. i. All Designated Users must be registered with the Platform.
      2. ii. Apna may require documentation evidencing user-organisation affiliation.
      3. iii. You warrant having the authority and consent to register Designated Users.
    4. (d) Credit/Subscription Transfers

      1. i. Individual Credits/Coins transfer to the Enterprise Account upon user designation.
      2. ii. Individual Subscription Plans may be merged at Apna’s discretion.
      3. iii. You shall obtain necessary consents and provide reimbursements to Designated Users.
      4. iv. You agree to indemnify Apna against all claims related to such transfers.
    5. (e) Enterprise Limitations : Apna reserves the right to restrict Job Posts per Enterprise Account at its sole discretion.

6. AI Calling Agent:
  1. (a) An artificial intelligence (AI) powered “agent” will conduct a preliminary interview on your behalf on the basis of which it will shortlist candidates, 24×7.

  2. (b) You will talk to the AI Calling Agent and set the hiring criteria for candidates. The AI Calling Agent will create questions on the basis of the role and your hiring criteria.

  3. (c) The AI Calling Agent will interview the interested candidate and will follow up five (5) times with the candidates via calls, electronic messages, and emails.

  4. (d) You will receive a pre-sorted list of candidates whom you can interview further.

7. Representations and Warranties:
  1. (a) You represent and warrant that:

    1. i. All Job Posts relate solely to genuine and currently available employment opportunities;
    2. ii. You possess full authority, capacity, and corporate approvals (where applicable) to make Job Posts and to bind your organisation;
    3. iii. You hold and will maintain all necessary registrations, licences, authorisations, and permits required to undertake recruitment activities in the relevant jurisdiction;
    4. iv. You shall not solicit or require from job applicants any form of financial commitment, fee, or deposit as a condition of application or selection;
    5. v. All Job Posts, recruitment practices, and communications through the Platform shall comply with all applicable employment, labour, data protection, and other laws, rules, and regulations;
    6. vi. You shall ensure that your Designated Users comply fully with these Terms and you shall be responsible for all acts and omissions of such Designated Users.
8. Disclaimers
  1. (a) Apna provides no assurance, warranty, or guarantee as to the volume, quality, suitability, or accuracy of responses received to any Job Post and accepts no liability whatsoever for the accuracy, completeness, or authenticity of candidate information, profiles, or responses.

  2. (b) All services are provided strictly on an “as-is” and “as-available” basis without any warranties of any kind, whether express, implied, or statutory.

  3. (c) Apna makes no representation that responses to Job Posts will meet your hiring expectations or that hired candidates will perform satisfactorily. The verification of candidate credentials, qualifications, and suitability remains your sole responsibility.

  4. (d) Apna does not guarantee that candidates accessed via Job Posts will not overlap with those accessible via database searches or other services.

  5. (e) The operation, performance, and availability of any third-party products or services integrated with the Platform remain outside Apna’s control, and Apna disclaims all responsibility and liability in relation thereto.

9. Indemnity
  1. To the extent permitted by Applicable Laws, in no event shall Apna, our subsidiaries, affiliates, officers, employees, directors, agents, contractors, partners, suppliers, or licensors be liable to you or any third party for any special, indirect, incidental, consequential, punitive, reliance, or exemplary damages (including without limitation lost business opportunities, loss of profits—including anticipated profits—or any other pecuniary or non-pecuniary losses, including but not limited to breach or loss of data, or goodwill), regardless of whether we have been advised of the possibility of such damages, or based on any theory of liability, including breach of contract or warranty, negligence, or other tortious action or any other claim arising out of or relating to:

    1. (a) Your use or misuse of the Platform or Paid Services;
    2. (b) Any Job Posts, recruitment activities, or communications initiated by you or your Designated Users;
    3. (c) The addition or removal of Designated Users, and any transfer or use of Credits/Coins;
    4. (d) Any breach of these Terms or of applicable laws, rules, or regulations by you or your Designated Users; and
    5. (e) Any claim brought by a candidate or third party in connection with your recruitment practices or decisions.
10. Intellectual Property
  1. (a) Access to candidate database information is provided solely under a limited, revocable, non-transferable licence for internal recruitment purposes and strictly in accordance with these Terms. You shall not copy, transfer, resell, or otherwise exploit such information for any other purpose.

  2. (b) Apna may aggregate and anonymise data submitted by you and your Designated Users for analytics, research, and product improvement purposes, and you expressly consent to such use.

11. Service Availability
  1. (a) You may use Credits/Coins strictly in authorised job categories and geographic areas as designated by Apna.

  2. (b) Apna shall have no liability for, and shall not provide any refund or credit adjustment in respect of, Credits/Coins used in unauthorised job categories or geographic areas.

  3. (c) Apna may, at its sole discretion, alter, suspend, or withdraw availability of the Paid Services in any category or geography at any time without liability.

12. Service Commencement
  1. Paid Services shall commence only upon Apna’s actual receipt of cleared funds from you or from an authorised third-party processor designated by you, and Apna shall have no obligation to provide any services until such payment has been confirmed.

13. Mobile Application Requirements
  1. You shall ensure that all Designated Users download and install Apna’s mobile application, complete registration, and provide accurate, up-to-date personal information for verification. Failure to do so may result in suspension or denial of access to the Paid Services.

14. Refund Policy
  1. (a) Apna shall, in its sole and absolute discretion, determine if any refunds are due.

  2. (b) All refunds, if approved, shall only be made pro rata to the actual usage of Paid Services.

  3. (c) Under no circumstances shall refunds exceed the pro-rated unused portion of services.

  4. (d) No full refunds shall be provided for any reason.

15. Change in the Paid Services
  1. (a) Apna reserves the absolute right, in its sole discretion and without liability, to:

    1. i. Modify the nature, scope, or manner of delivery of any Paid Services at any time;
    2. ii. Suspend or discontinue any Paid Services, either temporarily or permanently, without prior notice; or
    3. iii. Alter pricing, features, or availability of Paid Services.
  2. (b) You expressly waive any and all rights to make claims against Apna for non-delivery, suspension, or discontinuation of Paid Services after the effective date of such changes.
