TERMS AND CONDITIONS FOR APNA REFERRAL PROGRAM

These Terms and Conditions (“Referral Terms”) govern the Apna Referral Program (“Referral Program”) offered by Apnatime Tech Private Limited or Apna Inc (“Apna”, “we”, “us” or “our”) to Users (“you”, “your”). These Referral Terms shall be read in consonance with the Platform Terms and Conditions available on link (“Platform Terms”), Apna Advantage Terms available on link, and form an integral part of the Platform Terms. Capitalised terms not defined herein have the meaning ascribed to them in the Platform Terms and Apna Advantage Terms. By participating in this Referral Program, it is construed that you have read and understood the Referral Terms set forth below and agreed to abide by the same. Apna reserves the right to suspend, modify or terminate the Referral Program, in whole or in part, at any time and in any manner.

 

  1. DEFINITIONS
    1. “Referrer” means an existing User of Apna who refers Apna or its Platform or its services using  Referral Link to other eligible users.  
    2. “Referee” shall have the meaning ascribed to it under Clause 3.2. 
    3. “Referral Link” means the unique link allotted to each Referrer on Apna’s Platform.
    4. “Reward” means the benefit receivable under this Referral Program, in the form of cash or fee waivers or discounts, as the case may be.
    5. “Successful Referral" means a new User who satisfies the pre-requisites of a Referee as specified under these Referral Terms.

  2. ELIGIBILITY
    1. All Users of Apna’s Platform are eligible to participate and avail the benefit of the Referral Program. 
    2. Your participation in the Referral Program is deemed if (a) you share your Referral Link with another person by any means whatsoever, or (b) you use a User’s Referral Link. 
    3. An individual shall be deemed ineligible for participation in the Referral Program if they violate these Referral Terms by engaging in: (i) self-referrals, where an individual refers themselves using the same or a different account; (ii) creation or use of duplicate, false, or fraudulent accounts to generate Referral Links; (iii) bulk, automated, or incentivized sharing of  Referral Links on public forums, social media, or other platforms; (iv) creation, generation, distribution, or utilisation of any unauthorized, fraudulent, deceptive, or misleading Referral Link; or (v) any other actions deemed by Apna, at its sole and absolute discretion, to be fraudulent, deceptive, and/or misleading (“Ineligible Referrals”). 
    4. In the event that any individual, including but not limited to the Referee or Referrer, engages in conduct related to Ineligible Referrals, Apna shall, at the sole and absolute discretion: (i) withhold, cancel, or revoke any Reward, whether partially or in full; (ii) permanently restrict, suspend, or terminate such individual’s access to the Platform, including any associated accounts, without prior notice; and (iii) pursue any other remedies available under applicable law. Apna’s determination of any violation, including unauthorised, fraudulent, deceptive, or misleading conduct, shall be final and binding.

  3. REFERRAL PROGRAM
    1. The Referral Program enables Referrers to share a Referral Link to friends, family or any other personal connections through various means of communication, including email, text messages, and/or WhatsApp. A Referrer may also directly share the information with Apna. 
    2. Any person shall be deemed a Referee upon completion of the following:
      1. filing and submission of the Online Degree Program form using the unique Referral Link. The submission must be your first attempt at filling out the form. Duplicate and/or repeat entries will not be eligible for the Reward;
      2. payment of the associated fees of the program in full (semester-wise, or half-yearly or full, as the case may be);
      3. completion of documentation verification by the Partner; 
      4. generation of an enrolment ID after successful document verification (“Referee”); and
      5. submission of Additional Documents to Apna and successful verification by Apna. 
    3. The Referrer may track their proposed referrals on the Platform under the “Refer & Earn” product widget.
    4. The Referrer and Referee shall be eligible to receive the Reward as a referral incentive only upon a Successful Referral. 
    5. The Referrer shall be entitled to a maximum of 10 (Ten) Successful Referrals or such number as may be determined by Apna under these Referral Terms. Once the Referrer reaches the maximum limit, no further referral benefits or Rewards shall be granted, regardless of additional referrals made. Apna reserves the right to monitor and enforce this limitation at its sole discretion.

  4. DISBURSEMENT OF REWARDS
    1. The Referrer and Referee shall submit Additional Information to Apna, including but not limited to a copy of the permanent account number (“PAN”), cancelled cheque and/or bank account details for processing payment of the Reward. For clarity, the Rewards shall be disbursed only into the Referrer and Referee’s bank accounts.
    2. Apna or third parties engaged by Apna reserve the right to conduct the Know Your Customer (“KYC”) authentication on the Referrer and Referee prior to disbursement of the Reward.
    3. Subject to the Referrer and Referee having satisfied all requirements under these Referral Terms, Rewards (cash rewards) shall be disbursed within 30 (Thirty) days of a Successful Referral. All disbursements are subject to tax deductions at source (“TDS”), KYC compliance and verification.

  5. TAXATION
    1. You acknowledge and understand that you shall remain liable for all costs, taxes, surcharges, fees, carrier charges, claims or liabilities of any nature that may be applicable as a result of the accrual of any Reward.
    2. All Rewards under this Referral Program shall be subject to applicable TDS in accordance with the provisions of the Income Tax Act, 1961, as amended from time to time. In particular, as per Section 206AB of the Income Tax Act, if the Referrer or Referee qualifies as a “specified person”, TDS shall be deducted at a higher rate, being either (a) 5% or (b) twice the applicable rate for referral fees, whichever is higher. For clarity, “Specified Person" means a person who has not filed the returns of income for both of the two assessment years relevant to the two previous years immediately prior to the previous year in which tax is required to be deducted, for which the time limit of filing return of income under sub-section (1) of section 139 has expired; and the aggregate of tax deducted at source and tax collected at source in his case is rupees fifty thousand or more in each of these two previous years.
    3. Apna shall remit such deducted TDS to the appropriate governmental authorities in accordance with Applicable Laws and shall issue a TDS certificate to the Referrer and/or Referee as required.

  6. DISCLAIMER
    1. You acknowledge and understand that Apna and its Affiliates will not bear any responsibility or liability for any potential loss or damage, whether direct or indirect, that a user or any third party may incur in relation to any Reward, or any goods or services availed upon redemption of any Reward.
    2. You understand and acknowledge that while Apna issues the Reward to You, the issue of Reward shall in no way mean, imply, or denote a promise or a commitment for the assured provision of services or products of Apna’s Partners or third parties. You further acknowledge that the provision of said services or products shall be subject to the Partner’s or third party’s sole discretion, and that the said Partner shall be solely responsible for providing such product/service.
    3. You acknowledge and understand that a Reward cannot be claimed as a matter of right and that Apna reserves the right, at its sole discretion, to not issue any Reward to you. You further acknowledge and understand that you shall have no remedies against Apna, its Affiliates, for the non-provision of any Reward.
    4. Apna reserves the right to terminate duplicate user accounts thereunder.

  7. RESTRICTIONS
    1. Referrers cannot use their own Referral Link to purchase an Online Degree Program. Referrers can only avail the benefit of the Referral Program upon a valid referral under these Referral Terms to another Referee.

  8. RELATIONSHIP
    1. Neither these Referral Terms, the relationship created pursuant to these Referral Terms, nor any course of dealing between you and Apna is intended to create, or shall create, an employment relationship, a joint venture, partnership or any similar relationship. 
    2. You are not bound in any way to participate in this Referral Program. Any participation is voluntary.
