Job Description – Company Secretary

Position: Company Secretary (CS)

Department: Legal & Compliance

Location: As per company requirements

Employment Type: Full-Time


Salary Bracket - ₹40,000 – ₹80,000 per month (Based on qualifications, experience, and interview performance)


Age Criteria:25 – 45 years


Experience Required- 4 – 5 years of relevant experience as a Company Secretary, preferably in corporate governance, legal compliance, and secretarial functions.


  • Educational QualificationQualified Company Secretary (Member of ICSI)
  • Bachelor's Degree in Commerce, Law, Business Administration, or a related field (preferred)
  • Additional legal or compliance certifications will be an added advantage.

Job Summary : We are seeking a qualified and detail-oriented Company Secretary to oversee the company's statutory, legal, and corporate governance responsibilities. The ideal candidate should possess excellent knowledge of corporate laws, regulatory compliance, board procedures, and secretarial practices while ensuring the organization remains fully compliant with all applicable legal and statutory requirements.


Roles & Responsibilities:

  • Ensure compliance with the Companies Act, SEBI regulations (where applicable), and other statutory and regulatory requirements.
  • Organize, prepare agendas, and maintain minutes for Board Meetings, Committee Meetings, and Annual General Meetings (AGMs).
  • Prepare and file statutory returns, annual reports, and other mandatory documents with the Registrar of Companies (ROC) and other regulatory authorities.
  • Maintain statutory registers, records, and corporate documentation.
  • Advise the Board of Directors and senior management on corporate governance, legal, and compliance matters.
  • Draft and review Board resolutions, notices, policies, agreements, and legal documentation.
  • Coordinate with auditors, legal advisors, regulatory authorities, and government departments.
  • Monitor changes in corporate laws and ensure timely implementation of regulatory updates.
  • Ensure timely renewal and maintenance of statutory licenses, registrations, and corporate records.
  • Support due diligence, mergers, acquisitions, restructuring, and other corporate transactions when required.
  • Assist in the implementation of internal compliance policies and risk management frameworks.
  • Maintain confidentiality of all corporate and legal information.
  • Provide secretarial and administrative support to the Board and senior management as required.
  • Required SkillsStrong knowledge of the Companies Act, corporate governance, and statutory compliance.
  • Excellent drafting, documentation, and communication skills.
  • Strong analytical, organizational, and problem-solving abilities.
  • High level of integrity, professionalism, and attention to detail.
  • Proficiency in MS Office and compliance filing portals.
  • Ability to manage multiple assignments and meet statutory deadlines.
