Job Description

Senior Manager - Contracts Support

  1. Contracting Strategy & Its Implementation
  • Assist in setting up process and develop templates for the CP team to generate contracting strategy options and selection of the optimum contracting strategy.
  • Assist in ensuring that strategy meets the business requirement the demand (Scope of Supply/Services/Scope of Work), supported by the capability of the Market (local, regional or global as the case may be), has identified the value Opportunities and risk profile.
  • Support and adopt best in class practices in respect of contracting strategies.
  1. Tendering Process (Enquiry to Award)
  • Development of ITT based on the assessment of risk associated with the scope and allocates risk between company and contractor on proven industry practices.
  • Ensure that different SMEs as applicable (Tax, Insurance, Quality, Export/import, Ethics and Compliance etc.) have provided their input before release of ITT and have endorsed any changes requested by Tenderers during the ITT process.
  • Ensure ITT process is run in a transparent and robust manner in line with policies and procedure of the Company.
  • Assist in negotiation of ITTs and provide support to the team during negotiation.
  • Co-ordination for KOM and award of LOA/LOI/PO/Contracts in time.
  1. Developing Standard Contracting Processes
  • Support in developing the processes, templates, and vendor/contractor data base by adopting the best practices as well as lessons learnt.
  • Support legal team in developing and standardizing the terms and conditions of different type of contracts based on segmentation of demand and risk profile.
  1. Post Award Contract Management
  • Handle the Contract Management Plans/Contract Synopsis are developed for awarded contracts and Purchase Orders.
  • Contract Amendments/Variations where necessary are done in full compliance with Governance Framework of the Company e.g. Procurement Compliance Committee approval etc.
  • Arranging contractual interpretation to user departments for contractual terms & conditions whenever required by team with support of legal/ department seniors as the case may be.
  • Change Order Management, Change Proposal Review and approval of change orders.
  • Ensure Periodic review of Performance of Major Contracts & design and implement contractual interventions (offloading part of scope, provide company procured resources, incentive schemes etc.) which can address sub-optimal performance of EPC/EPCM/PMC Contractors and ensure on track delivery of Projects.
  • Provide support during contract closing and in resolving the disputes, if any.
  1. Contractor (Relationship) Management
  • Support Co-ordination with key personnel of contractors and ensure from Company side the relationship is nurtured through different touch points between two companies.
  1. CP System Usage
  • Ensure Nayara CP system are used in respect of CP activities to the extent possible (Requisition to Process Pay Process of Nayara is utilized for invoicing and payment purposes).
  1. Commercial Negotiations & Project Support
  • Support the deliberation and negotiations of all commercial arrangements concerning Project Investment Opportunities e.g., lender agreement, licensing agreement etc.
  • Participation in negotiation meetings.
  • Advise on deal and negotiating tactics.
  • Identify the risks if any and flag it to the team.
  • Take part in audit activities and ensure support to the auditing team w.r.t. all documents & support needed.

Knowledge:

  1. Qualification: BE/B.Tech
  2. Experience:
    • 8-10 years of experience in procurement & contracting domain in refinery, oil & gas and petrochemicals sector.
    • Sound experience of handling large value contracts from initial stage till post award management.
    • Knowledge of licensors, engineering companies.

Skills:

  1. Technical/Functional Skills:
    • Knowledge of all types of contracts required for new projects.
    • Ability to work independently for developing the pricing model.
    • Full understanding of contractual terms & conditions and their interpretation
