Job Description

We are seeking a qualified and dynamic Company Secretary (CS) to join our organization and manage corporate compliance, secretarial matters, legal documentation, and regulatory filings.


Key ResponsibilitiesCorporate & Secretarial Compliance

✅ Ensure compliance with the provisions of the Companies Act, 2013 and applicable rules

✅ Conduct Board Meetings, Committee Meetings, and General Meetings

✅ Prepare and maintain Minutes Books, Statutory Registers, and Corporate Records

✅ Draft Board Resolutions, Notices, Agendas, and Corporate Documents

✅ Filing of various forms and returns with ROC/MCA


Regulatory Filings & Compliance

✅ Annual ROC Compliance and Secretarial Filings

✅ DIR, PAS, MGT, AOC, INC and other MCA filings

✅ Monitoring statutory due dates and compliance calendar

✅ Liaison with ROC, MCA and other regulatory authorities


Legal Documentation

✅ Drafting, vetting and review of agreements, contracts, MOUs and legal documents

✅ Documentation relating to shareholders, directors and corporate restructuring

✅ Maintenance of corporate records and legal documentation


Corporate Governance

✅ Advising management on corporate governance matters

✅ Ensuring implementation of statutory and regulatory requirements

✅ Assisting in policy formulation and compliance monitoring


Banking & Finance Coordination

✅ Coordination with Banks, Financial Institutions and Government Authorities

✅ Assistance in loan documentation, project finance documentation and compliance requirements

✅ Support in due diligence and transaction-related documentation


Business & Administrative Support

✅ Coordination with Auditors, Consultants, Advocates and Regulatory Authorities

✅ Support in company incorporation, LLP registration, partnership restructuring and corporate changes

✅ Handling compliance-related correspondence and record management


Preferred Experience

✔ 1–5 years experience in Secretarial Compliance, ROC Filings and Corporate Law

✔ Experience in CA Firm, CS Firm, Legal Firm, Consultancy or Corporate Office preferred

✔ Knowledge of Companies Act, 2013, LLP Act and Corporate Compliance

✔ Exposure to Project Finance, Banking Documentation and Regulatory Approvals will be an added advantage


Qualification

✔ Qualified Company Secretary (ACS/FCS) preferred

✔ Semi-qualified CS candidates with relevant experience may also apply
