Job Description
Profile ;- Executive – Legal and Secretary
Compliance of SEBI Rules and Regulation, Listing Agreement, Company Law, Company Secretarial Functions, Legal matters
Duties, Powers and Responsibilities:
· To ensure compliance of the provisions of Companies Act and rules made thereunder, other statutes and bye-
laws of the company and the secretarial standards as applicable.
· Preparation and drafting of Directors Report, CG Report, Notices etc.
· Filling of forms and returns with the Ministry of Corporate Affairs, stock exchanges and Reserve Bank of India.
Along with Share transfer and dematerialisation / re-materialisation activities and coordination with RTA.
· Drafting and preparing resolution and minutes of the meeting, agenda and the other supporting documents for
the Board and committees.
· Maintenance of secretarial records and returns/ registers of subsidiary / associate / joint venture companies.
Dividend payment, banking formalities relating thereto, revalidation and issue of duplicate dividend warrants and
coordination with RTA for the same.
· Correspondence with Regulatory authorities, RTA, Depositories etc.
· Drafting of annual report of listed entity
· Coordination with cross functions for preparing agenda, minutes, disclosures, etc. as may be required for
secretarial functions.
· Coordinate with the auditors for the getting the audit done
· Ensure timely compliance of filing disclosures, reports, forms, returns with MCA, Stock Exch.
· Assisting in preparation of agenda for Board and committee meetings, preparation of Annual Report including
Notice of Annual General Meeting, Directors Report, Corporate Governance Report, etc. of subsidiary / associate
/ joint venture companies
· Assisting in implementing various Legal / Corporate actions/Legal case management.
· Regular communication with various company’s stakeholders and shareholders, and resolutions of intime
complaints
· Obtaining DSC of the Directors and KMPs
Job requirement :
· Qualified Company Secretary & LL.B.
· Around 03 to 05 years related work experience as Legal & Secretarial in Listed Company. (Freshers can also apply
with sound knowledge of roles and responsibilities described above)
· Age – 25 to 30 years
· Gender – Male / Female
· Languages Known – Hindi, English, Gujarati
Sound knowledge of Legal & Secretarial.
Salary CTC :
· Rs. 05 to 06 lacs per annum. Higher compensation may be considered for deserving candidates.
· Non‑compete, intellectual property, and confidentiality clauses will apply as per company policy.

· Based at Head Office, Ahmedabad.
