Core Responsibilities
1. Board & General Meeting Management
Facilitation: Manage the end-to-end process for Board and General Meetings
(AGM/EGM).
Administration: Prepare agendas, collate board packs, draft minutes, and ensure high-
quality, timely documentation of all proceedings.
Action Tracking: Serve as the central point for tracking action items and ensuring board
decisions are implemented across departments.
2. Corporate & Regulatory Compliance
Statutory Filings: Manage timely filing of forms (e.g., ROC/MCA filings) for the
holding company and its various Special Purpose Vehicles (SPVs) typical in solar
projects.
Regulatory Watch: Monitor changes in the Companies Act and specific energy sector
regulations (e.g., mandates from the Ministry of New and Renewable Energy or state-
level grid authorities).
Governance Framework: Develop and maintain internal governance policies, ensuring
adherence to the Articles of Association and Shareholders’ Agreements (SHA).
3. Solar-Specific Compliance & ESG
Project Governance: Oversee secretarial compliance for project-based SPVs. This
involves managing the incorporation, restructuring, and winding up of project entities.
Stakeholder Liaison: Act as the bridge between the board, investors (who often have
specific reporting requirements for renewable projects), and external auditors.
4. Legal & Secretarial Audits
Audit Readiness: Conduct periodic internal secretarial audits to identify gaps before
external audits.
Contract Vetting: Collaborate with the legal team to vet power purchase agreements
(PPAs), EPC (Engineering, Procurement, and Construction) contracts, and joint venture
agreements to ensure corporate authorization is in order.
