Job Title: Company Secretary (Corporate Legal & Compliance Advisory)                                                                                                                                          Location: Kumara park , Bangalore                                                                                                                                                                                                           Experience: 1–3 years (preferred in Corporate Law, FEMA & M&A)Educational                                                                                                                                                 Qualification: Member of the Institute of Company Secretaries of India (ICSI)
Additional qualification in Law (LLB) or FEMA/Corporate Restructuring certification is desirable
Key ResponsibilitiesCorporate Law & Compliance
Draft, review, and vet Board resolutions, agreements, and secretarial documents​
Handle annual filings, including XBRL, MGT-14, AOC-4, and other MCA filings​
Maintain statutory registers, minutes, and share transfer ledgers
Ensure compliance under the Companies Act, 2013, SEBI, and allied laws
Corporate Structuring & Mergers
Conduct due diligence of target entities from a legal and compliance standpoint​
Structure deals — Amalgamation, Acquisition, Demerger, or Buyback transactions​
Prepare and file NCLT petitions, FC-GPR/FC-TRS reports under FEMA regulations​
Foreign Exchange Management (FEMA)
Draft and review documentation for cross-border investments, ODI, and FDI filings​
Ensure compliance with RBI guidelines, FEMA notifications, and DoC filings
Trademark & IPR
Advise clients on Trademark search, filing, and registration process​
Liaise with the Trademark Registry and represent clients for oppositions and renewals
Maintain IPR portfolio and coordinate with legal counsel for infringement issues
Corporate Advisory & Governance
Provide legal opinions and advisory notes on company restructuring, capital infusion, and shareholder matters​
Conduct compliance hygiene checks and client visits
Guide management on best practices in corporate governance and board effectiveness​
Key Skills Required In-depth knowledge of Corporate Law, FEMA, and merger compliance
Strong drafting and analytical skills
Excellent communication and client-handling abilities
Proficiency in MCA21, RBI FIRMS Portal, and IPR filings
Preferred Attributes Experience in consulting or corporate secretarial firms
Capable of independently handling multiple client portfolios
Attention to detail and adherence to deadlines
